Job summary

Digital Realty Trust, L.P. is seeking a Sr. Director, Corporate & M&A to lead APAC corporate matters from Singapore. You will partner with global Acquisitions & Investments and LRSC teams to guide complex transactions and corporate governance.

Responsibilities include managing outside counsel across jurisdictions, overseeing NDAs, LOIs, diligence, negotiations, closing and post-closing integration, and advising on JV structures and regulatory matters in APAC.

Qualifications

  • Degree from top law school, with active current membership (or qualification), as applicable.
  • Minimum of 12-15 years of corporate, M&A transactions and JV experience, including a combination of major law firm and in-house experience.
  • Experience managing complex M&A transactions is required.
  • Experience with JVs and international transactions is preferred.
  • Experience managing outside counsel, including in complex transactions, is required.
  • Highly organized with strong attention to detail and excellent drafting, negotiating, writing, speaking and analytical skills (fluency in English is required).
  • Ability to identify and research legal risks and issues, and effectively counsel clients.
  • Experience in transaction and document management.
  • Flexible team-player with excellent interpersonal and communication skills, both written and verbal.
  • Self-motivated, independent and able to handle and prioritize time-sensitive projects.
  • Willing to work on a broad variety of matters in a fast-paced environment; agile.
  • Ability to develop and implement processes for Legal Department.

Responsibilities

  • Advise and provide legal support to APAC region on all corporate matters and coordinate with APAC corporate business units.
  • Partner with global Acquisitions & Investments team to support all stages of M&A and JV transactions—NDAs, LOIs, diligence, negotiations, closing, post-closing and integration.
  • Effectively manage outside counsel, including multiple teams of deal counsel in multiple jurisdictions.
  • Coordinate with internal business units on transactions (Accounting, Tax, SEC reporting, Finance, IR, HR, Sales/Marketing).
  • Oversee drafting, review and negotiation of agreements with consultants and other third parties related to transactions.
  • Routinely update Legal leadership on status of transactions.
  • Provide ongoing support for joint ventures, including governance and capital calls.
  • Provide legal advice to SREIT vehicle on corporate, listed company, M&A, JV, and regulatory matters.
  • Manage outside counsel efficiently.
  • Work with senior stakeholders in APAC leadership and global Legal leadership.
  • Develop and implement policies, procedures and playbooks across corporate legal matters.

Job description

This position, based in Singapore, is an opportunity to join our global Legal Risk Sustainability Compliance (LRSC) team as Sr. Director, Corporate & M&A supporting the APAC region. This position reports to the VP & AGC, Global Corporate & M&A, who is based in Texas, USA. As part of the global LSRC team, this position partners closely with the Company’s Corporate functions to manage all aspects of corporate (non-commercial) legal work and with the Company’s global Acquisitions & Investments Team on M&A and JV transactions across the APAC region. Additionally, this attorney will support the Company’s SREIT vehicle, an SGX-listed entity, and the Company’s JVs in APAC.

  • Advise and provide legal support to the Company’s APAC region on all corporate matters, and partnering with APAC corporate business units, including Accounting, Corporate Finance, Treasury, HR, Marketing and Tax groups;

  • Partnering closely with the global and local Acquisitions and Investments team, support all stages of M&A and JV transactions– NDAs, LOIs, diligence, negotiations, closing, post-closing and integration – including acquisitions and dispositions, JVs and other investments.

    • Effectively manage outside counsel, including multiple teams of deal counsel and specialists in multiple jurisdictions on multiple transactions at any given time.

    • Coordinate closely with internal business units on transactions, including Accounting, Tax, SEC reporting, Finance, Investor Relations, HR, Sales/Marketing and others.

    • Oversee drafting, review and negotiation of agreements with consultants and other third parties related to the transactions (e.g., reliance letters, engagement letters, etc.).

    • Routinely update Legal leadership on status of the transactions.

  • Provide ongoing support for and engagement with joint ventures, including post-closing, on all aspects, including:

    • Corporate governance, board meetings, and routine and non-routine matters for approval.

    • Capital calls/contributions, JV partner rights and obligations.

    • Provide legal advice and support to the Company’s SREIT vehicle on a variety of matters, including general corporate, listed company, M&A, JV, and regulatory matters.

  • Manage outside counsel effectively and efficiently.

  • Work closely with senior stakeholders in the Company, including other cross-functional members of the APAC leadership team and global business and Legal leadership.

  • Work with Legal and LRSC teams to support the development and continuous improvement of policies, procedures, processes and playbooks and standard templates across corporate legal matters, including JVs.

  • Execute assigned projects, including the development and implementation of processes, as determined by the needs of the global LRSC team.
