NES Fircroft is seeking a Senior Contracts Advisor - Derivatives to support the commercial teams by drafting and negotiating OTC Derivatives agreements while providing value driven contractual advice. You will advise on regulatory compliance, reflect terms accurately, and manage complex contracts with ISDA and related agreements.

• Bachelor’s degree in law or equivalent legal experience.
• Minimum of 3 years’ working experience in drafting, analysis and negotiation of contracts related to the purchase and sale of OTC derivatives.
• Expert knowledge of agreements associated with derivatives trading, including ISDA Agreements, CSA & VMCSA, Brokerage Agreements, Master and long form agreements.
• Expert knowledge of regulations applicable to derivatives trading activity.
• Strong commercial mindset.
• Effective negotiating skills and ability to manage stakeholder expectations.
• Flexible approach and ability to work independently as well as in a team.
• Ability to prioritise workload under tight deadlines.
• Meticulous with a keen eye for detail and highly organized.

Aufgaben

• Provide expert advice to the business and supporting functions regarding standard and complex contractual arrangements ensuring regulatory compliance.
• Advise traders on commercial and contractual risk and ensure contracts reflect terms accurately.
• Negotiate standard and complex contracts for OTC derivative transactions while ensuring policy compliance.
• Prepare and negotiate trade confirmations and ad hoc agreements to facilitate new business.
• Provide advice and help in resolving contractual disputes with counterparties and liaising with stakeholders.

Our Oil & Energy Downstream Client is urgently looking for Senior Contracts Advisor - Derivatives who will report to the Contracts Team Lead Derivatives and support the commercial teams by drafting and negotiating OTC Derivatives agreements, as well as providing value driven contractual advice to the businesses we support.

• Provide expert advice to the business and supporting functions with regard to standard and complex contractual arrangements, such as framework agreements, ISDAs, Delegated Reporting agreements, Broker agreements, Service Level Agreements etc. ensuring compliance with both regulatory and mandated requirements
• Provide advice to the business and supporting functions with regards to derivatives contractual arrangements ensuring compliance with both regulatory and mandated requirements
• Advise traders of the commercial and contractual risk associated with their business and ensure that contracts/agreements drafted are fit for purpose
• Negotiate standard and complex contracts that accurately reflect the terms and conditions related to the purchase and sale of OTC derivative transactions, while maintaining compliance with policies and procedures
• Prepare and negotiate trade confirmations as well as ad hoc agreements when needed to facilitate new business and structured transactions
• Provide advice and help in resolving contractual disputes with counterparties, liaising with various stakeholders as necessary
• Maintain an awareness and advise on any new business opportunities or changes in regulatory requirements
• Maintain an accurate and complete record of current and ongoing negotiations, providing visibility to necessary stakeholders
• Have a working knowledge of business controls related to derivatives, ensuring compliance with GRA and audit requirements
• Provide pre and post deal commercial value driven advice and support to the business
• Have a working knowledge of the derivative trade confirmations processes and adherence to applicable regulations
• Ability and willingness to support other members of the team hen necessary
• Serve as a mentor/trainer to other Contracts Advisors
