Job summary

MICHAEL PAGE INTERNATIONAL PTE LTD is seeking an experienced Assistant General Counsel to lead regional M&A activities from structuring to closing. You will shape legal strategy, negotiate critical agreements, and oversee due diligence across markets, while guiding regulatory approvals and governance considerations.

The role requires 15+ years post‑qualification experience, a law degree, and a proven ability to provide commercially grounded legal counsel in high-pressure environments.

Qualifications

• A degree in Law from a recognised institution and professional legal qualifications.
• Deep technical expertise in corporate transactions, drafting, and negotiation.
• Familiarity with regulatory environments and listing-related requirements.
• Clear communication style and decisive guidance under pressure.
• Collaborative mindset and willingness to take evolving responsibilities.

Responsibilities

• Shape the legal strategy for complex M&A activities, ensuring structures and terms support long‑term business objectives.
• Lead negotiations on key agreements—from term sheets to full transaction documentation.
• Oversee multi‑market legal due diligence with inputs from internal teams and external counsel.
• Provide guidance on regulatory approvals, competition matters, governance, and investment controls.
• Act as a senior advisor to deal teams and leadership throughout the lifecycle of transactions.
• Coordinate with banks, advisers, counsel, and counterparties to ensure smooth execution under timelines.
• Support internal governance processes, including preparing materials for senior management and boards.
• Assist with integration efforts and ongoing post‑completion obligations.
• Contribute to enhancement of legal frameworks, templates, and internal processes for M&A.
