Job summary

Surbana Jurong is hiring an experienced Company Secretary to manage a portfolio of group companies, locally in Singapore and overseas. The role requires proven governance expertise, meticulous record-keeping, and the ability to coordinate board meetings and statutory filings.

You will support governance best practices, collaborate with Legal, Finance and Tax teams, and drive digitalisation of corporate secretarial workflows.

Qualifications

• Qualified Chartered Secretary with CSIS/ICSA qualification.
• 10+ years corporate secretarial experience.
• Ability to work under pressure and meet tight deadlines.
• Proficient in MS Word and Excel with strong document management skills.
• Strong communication and interpersonal skills; able to collaborate in a team or independently.

Responsibilities

• Act as named Company Secretary for companies within Surbana Jurong Group, if required by the Chief Legal Counsel.
• Handle the full spectrum of corporate secretarial work and manage a portfolio of companies in Singapore and overseas.
• Ensure compliance with statutory and regulatory requirements through timely filings and accurate records.
• Provide corporate secretarial support for Board and Board Committee meetings, including materials and logistics.
• Support digitalisation initiatives and continuous improvement of secretarial workflows.
• Coordinate with cross-functional teams and service providers across jurisdictions.

Responsibilities

• Act as named Company Secretary for companies within Surbana Jurong Group, if required by the Chief Legal Counsel
• Handle the full spectrum of corporate secretarial work and manage a portfolio of companies in Singapore and overseas
• Ensure compliance with statutory and regulatory requirements through the effective maintenance of corporate secretarial records and timely statutory filings
• Provide corporate secretarial support for Board and Board Committee meetings, including the preparation of meeting materials and coordination of meeting logistics
• Support the continuous improvement and transformation of corporate secretarial workflows, including the implementation of digitalisation initiatives
• Liaise with corporate secretarial teams and manage corporate secretarial service providers across the Group in various countries
• Support the development of systems and processes in accordance with corporate governance best practices and company secretarial principles
• Manage the preparation and issuance of powers of attorney and other documents under seal
• Provide corporate secretarial support for AGMs and EGMs, including notices, resolutions, and shareholder communications
• Support corporate actions, including incorporation, restructuring, and striking off/winding up of branches/entities across the Group's various jurisdictions
• Coordinate with Legal, Finance, Tax, and People & Culture on cross-functional matters requiring corporate secretarial support.

Requirements

• Qualified Chartered Secretary with CSIS/ICSA qualification
• At least 10 years of corporate secretarial experience
• Ability to work effectively under pressure and manage tight deadlines
• Proficient in Microsoft Word and Excel, with strong attention to detail and document management skills
• Strong communication and interpersonal skills, with the ability to work collaboratively in a team environment as well as independently with minimal supervision
• Experience supporting listed companies would be an advantage
