Job summary

Voi Technology seeks a Corporate Legal Counsel to reinforce the Legal & Insurance team in Sweden and across the Group. You will work with the Senior Legal Counsel on corporate legal matters, governance, and administration, ensuring compliance and timely filings across jurisdictions.

You’ll contribute to shareholder management, cap table accuracy, and potential M&A activities, while collaborating with Finance and external advisers to support the Group’s growth and governance standards.

Qualifications

• Fluency in Swedish and English, written and spoken.
• Swedish law degree (jur.kand.).
• 1+ years experience in corporate law, in-house or at a law firm.
• Strong knowledge of Swedish corporate law, including shareholders’ agreements, general meetings and corporate filings.
• Experience with listed companies, MAR, incentive arrangements and board governance, and supporting M&A or listing work.
• Strong commercial judgement, ability to influence and explain legal issues to non-lawyers.
• Diligence and attention to detail; know when to decide or elevate.
• Experience using AI in a role-specific context to improve output quality.

Responsibilities

• Shareholder Management: ensure compliance with shareholders’ agreement, handle transfers, secondary sales and incentive arrangements, assist with AGMs.
• Cap Table: keep cap table 100% accurate, including issuance and cancellation of shares and options.
• Board Governance: support board with governance and internal controls.
• Corporate Actions: assist with M&A, listing securities, MAR matters.
• Group Structure: maintain group structure and ensure compliance in each jurisdiction.
• Corporate Administration: ensure filings, annual reports and accounts are completed on time with Finance and foreign lawyers.
• Team Collaboration: support Finance and colleagues, allocate work and appoint external advisers.
