Confidential Government is seeking a Head of Legal & Governance, Risk & Compliance to lead the company-wide GRC framework and provide practical legal support across the company and its subsidiaries.

The role requires establishing risk registers, ensuring regulatory and contractual compliance, and advising on commercial, operational, and corporate matters. Strong leadership and stakeholder management are essential to drive a compliant, high-integrity organization.

Qualifications

• Bachelor’s degree in Law or related field.
• Relevant professional certifications or postgraduate qualifications are preferred.
• Significant experience in legal, governance, risk, and compliance roles.
• Strong background in legal advisory, contracts, compliance, governance, and enterprise risk management.
• Strong legal and GRC knowledge.
• Sound judgment and business-oriented thinking.
• Strong drafting, negotiation, and advisory skills.
• High integrity, confidentiality, and professionalism.
• Strong stakeholder management and ability to handle sensitive matters effectively.

Responsabilités

• Lead and enhance governance, risk, compliance, and legal frameworks across the company and its subsidiaries.
• Develop, review, and improve policies, controls, approval matrices, charters, and internal frameworks.
• Establish and maintain the enterprise risk register, with clear mitigation actions and reporting.
• Oversee compliance with applicable laws, regulations, internal policies, and contractual obligations.
• Provide practical legal advice on commercial, operational, employment, regulatory, and corporate matters.
• Review, draft, negotiate, and advise on contracts, legal documents, notices, claims, and sensitive matters.
• Manage external legal counsel and support disputes, claims, settlements, investigations, and pre-litigation matters.
• Support legal and GRC aspects of restructuring, partnerships, joint ventures, investments, and strategic transactions.
• Coordinate with relevant functions to strengthen internal controls, address governance or compliance gaps, and support business decisions.
• Promote legal and compliance awareness across the organization, including at least two GRC awareness sessions annually.
• Perform any other legal, governance, risk, compliance, or related responsibilities assigned by the CEO in the interest of the company and its subsidiaries.
