Job description

The Governance Manager is responsible for leading the development, implementation, and continuous enhancement of the organization’s corporate governance framework to ensure compliance with legal, regulatory, and organizational requirements. They oversee governance structures, policies, and practices to promote transparency, accountability, ethical conduct, and effective decision-making across the organization.

Job Responsibility
  • Lead the development, implementation, and continuous enhancement of the corporate governance framework, structures, policies, and processes.
  • Ensure alignment of governance practices with corporate governance principles, regulatory requirements, and industry best practices.
  • Oversee the integration of governance frameworks across all departments to ensure consistent application of governance standards.
  • Ensure compliance with laws, regulations, and internal policies, while identifying and addressing governance-related gaps and issues.
  • Manage governance support activities for the Board of Directors and its committees, facilitating informed decision‑making.
  • Monitor compliance with governance policies, provide reports to senior management and the Board of Directors, and offer recommendations.
  • Identify, assess, and manage governance-related risks, develop governance controls and mitigation plans.
  • Oversee ethics and integrity programs to ensure adherence to the organization’s Code of Conduct and governance requirements.
  • Conduct governance reviews, assessments, and audits to evaluate effectiveness and implement necessary actions.
Candidate Requirements
  • Bachelor's degree in a relevant field; advanced degree or certification in governance is preferred.
