Legal Counsel

Location : Berlin (remote)

Our client is seeking a Legal Counsel to join a rapidly expanding scale-up. This role involves shaping transactions, negotiating with investors, and ensuring contracts are both watertight and commercially effective. Alongside corporate and financing work, you will help develop scalable legal structures, templates, and processes to support the company’s continued growth.

Key Responsibilities

• Lead and support M&A and financing transactions from structuring through to completion.
• Draft, review, and negotiate contracts with partners, suppliers, and clients.
• Advise on corporate governance and investor relations matters.
• Design and optimise legal frameworks, templates, and operational processes.
• Liaise with external counsel on transactions and disputes.
• Monitor regulatory developments and assess their business impact.
• Communicate complex legal issues clearly and pragmatically.

Requirements

• Qualified lawyer with 3–6 years’ experience in private practice or in-house.
• Strong background in corporate law, finance, and M&A.
• Familiarity with legal operations, compliance, or litigation.
• Fluent in German and English (C1 level or above).
• Practical, proactive, and comfortable in a fast-paced environment.
• Approach law as a strategic business enabler.
