Zurich Italy Bank S.p.A. offers a 6‑month internship, renewable for another 6 months, within the Legal & Corporate Affairs Department located in Milan – via Benigno Crespi, 23.
The intern will be placed in a professional growth path alongside the company tutor affiliated to the Legal & Corporate Affairs Office, aiming to support colleagues in the various activities of competence encompassing a wide spectrum of legal and regulatory matters, as well as transversal multidisciplinary projects within the same Department.
Mission of the Legal & Corporate Affairs Department: (a) ensure the correct functioning of governance bodies; (b) supervise relations with Supervisory Authorities; (c) provide legal assistance to the Executive and other Departments; (d) offer legal counsel in extraordinary operations and M&A; (e) manage litigation and customer claims.
Main Activities:
- Support the management of relations with corporate bodies (Board of Directors, Risk Committee and Statutory Audit Committee) and with the Bank’s shareholders, including the preparation of practices for the acceptance of charges by the relevant members, verification in terms of interlocking prohibition and organization of meetings;
- Offer operational support in the elaboration: (i) of information flows towards corporate bodies, elaboration of formats, definition of timelines and contents of such documents, review of related company procedures and (ii) of the ad‑hoc procedures in force for the Bank in charge of the Legal & Corporate Affairs Department;
- Participate in the management of the conservation and update of the company books, taking care of the transcription of the relevant minutes and the compliance at the competent entities;
- Assist the company tutor: (i) in the care of the management of the compliance with Supervisory Authorities, as well as in those of the formalization and release of powers of attorney and (ii) in providing legal assistance to the business functions both for the drafting and updating of the normative documentation related to the Bank’s products and services as well as in the preparation and negotiation of distribution contracts and service contracts with third‑party suppliers (including outsourcing contracts of essential functions);
- Participate in the formulation of legal opinions to provide assistance on legal and regulatory matters.
Requisites:
- Laurea in Giurisprudenza
- Good knowledge of the English language
Workplace location: Milan
Stage: 6 months, possibly renewable, not aimed at employment.
