Job summary

Powerholding Intl in Qatar seeks a Corporate Governance Manager to oversee the Group's governance framework, DoA, and policy management. You will translate requirements into practical processes, manage delegated authority, board governance, and entity records across subsidiaries, while leading governance digitalisation and reporting efforts.

You will coordinate with Legal, Corporate Secretariat and IT to ensure compliance, accountability and transparency across stakeholders and management teams.

Qualifications

• Minimum 8 years of relevant professional experience in corporate governance, governance operations, internal control, compliance or related discipline.
• Experience in DoA, governance frameworks, corporate policy management, and Board/committee governance.
• Practical experience with ERP-enabled governance processes and workflow automation, preferably SAP.
• Strong analytical, stakeholder-management and communication skills.
• Experience coordinating cross-functional governance initiatives.

Responsibilities

• Governance framework implementation across Group entities and subsidiaries.
• Manage Delegation of Authority framework and matrices, ensuring proper approvals.
• Oversee Board, Board Committee governance and authorised signatory governance, including charters and mandates.
• Maintain subsidiary governance records and corporate entity records with Legal and Company Secretariat.
• Support Corporate Policy Management Framework and policy lifecycle governance.
• Monitoring, reporting and remediation of governance actions and exceptions.
• Lead digitalisation of governance processes and workflows (SAP, BTP).
