Job summary

Jobgether is seeking a Senior Corporate Counsel based in Poland to shape corporate strategy and support growth of a globally distributed technology business. You will lead securities, governance, and M&A, oversee international subsidiaries and employee equity programs, and help scale legal processes for international expansion.

Qualifications

• JD from a US-accredited law school, admission to practice in a US state.
• At least five years of legal practice experience.
• Strong expertise in securities law compliance and corporate governance.
• Proven experience managing international subsidiaries and complex corporate transactions.
• Experience overseeing employee equity programs and stock plans.
• Knowledge of IP, software licensing, and open-source licensing.

Responsibilities

• Lead global securities law compliance and governance for a late-stage private company.
• Manage international subsidiary structure, board meetings, records, reorganisations, intercompany agreements, local compliance.
• Support board governance with agendas, materials, and documenting decisions.
• Oversee employee equity programs and stock sale transactions.
• Lead legal execution of fundraising, M&A, financing, and other strategic transactions.
• Oversee venture investments and related activity.
