Job summary

Moritz, an AI-native global law firm, seeks an experienced M&A co-counsel for Poland to draft, review, and negotiate SPAs, APAs, and related documents. You will run due diligence, coordinate cross-border workstreams, and advise on structuring, earn-outs, and closing mechanics.

We expect 5+ years in M&A, cross-border fluency, and an active Poland license. Engage with Moritz as an independent contractor on project or retainer basis, joining a well-funded, growth-focused team.

Qualifications

• 5+ years practising M&A or corporate law in private practice or in-house.
• End-to-end deal experience from term sheet through closing.
• Deep familiarity with transaction documents: SPAs, APAs, disclosures, warranties and indemnities.

Responsibilities

• Lead drafting, review, and negotiation of SPAs, APAs and related documents.
• Run legal due diligence and coordinate specialist workstreams.
• Advise on deal structuring, earn-outs, closing mechanics, and post-closing matters.
• Coordinate with counsel in other jurisdictions on multi-country deals.
• Meet SLA commitments when accepting work at defined turnaround times.
