Job summary

Enery is seeking a senior legal professional to support Polish and Baltic teams on complex renewable energy transactions. You will conduct due diligence, structure M&A deals, and draft/negotiate PPAs, land, and project documents while ensuring regulatory compliance across jurisdictions.

Qualifications include a Master’s degree in Law (Polish), Radca Prawny or Adwokat, and at least 6 years of relevant experience, including at least 3 years at a reputable law firm.

Key Responsibilities
  • Legal Support of Polish and Baltic Teams.
  • Supporting legal due diligence and structuring of M&A activities in the renewable energy sector, ensuring compliance with both local regulations and international standards.
  • Conducting due diligence on project viability, assessing risks, and ensuring legal frameworks align with investor requirements.
  • Drafting, reviewing, and negotiating contracts for renewable energy projects (e.g., power purchase agreements (PPAs), grid connection agreements, land acquisition, option and lease agreements and other key project documentation) and assisting in obtaining necessary permits and licenses for renewable energy projects, including environmental approvals, building and construction permits.
  • Structuring and advising on joint ventures, partnerships, co-operation agreements for renewable energy projects, including wind, solar, and BESS.
  • Providing legal counsel on financing structures and facilities for renewable energy projects (e.g., project finance, public-private partnerships, and subsidies) and advising on the legal aspects of government subsidies, grants, and tax incentives for renewable energy developments.
  • Supporting energy trading and market activities in Poland, including related licences and regulatory approvals, interactions with relevant market and regulatory institutions, and the drafting, review, and negotiation of route-to-market, balancing, tolling, power trading, guarantees of origin, flexibility, and ancillary services agreements.
  • Ensuring compliance with corporate governance requirements, including preparing and reviewing board resolutions, shareholder agreements, and ensuring adherence to best practices and relevant regulations.
  • Providing legal guidance on and assisting with corporate structuring matters, including incorporations, mergers, demergers, and the restructuring of entities within the group to ensure optimal legal and tax efficiency and compliance with applicable legal requirements.
  • Providing legal support on employment law matters, including drafting employment contracts, handling labor disputes, and advising on the implementation of employee incentive plans, such as stock options or performance-based schemes, in compliance with Polish and CEE regulations.
Key Requirements
  • Master's degree in Law (Polish law).
  • Admission as a Radca Prawny or Adwokat.
  • Minimum of 6 years of relevant professional experience, including at least 3 years at a reputable law firm with substantial hands-on M&A/transactional work.
  • Solid working knowledge of M&A, corporate, real estate, and energy/regulatory law, particularly as it relates to infrastructure or renewable energy projects.
  • Demonstrated ability to manage matters independently and effectively prioritize competing demands.
  • Professional proficiency in English and Polish.
  • Based in Warsaw or willing to relocate.
Strongly Preferred
  • Previous in-house or secondment experience, ideally within the energy, infrastructure, or another regulated industry.
  • Direct experience in the energy or renewable sector (e.g. BESS, solar, wind).
  • Exposure to energy trading and route-to-market arrangements, including PPAs, balancing, tolling agreements, guarantees of origin, and ancillary services.
  • Experience working across CEE/Baltic jurisdictions or coordinating cross-border legal matters.
  • Experience using legal technology and AI tools, with an interest in building legal processes within a scaling business.
  • Self-starter with a strong sense of ownership and a pragmatic approach to commercial risk.
  • Excellent drafting, negotiation, and communication skills.
  • High level of motivation with a positive, proactive, and goal-oriented mindset.
