Job summary

Folio3 Software is seeking a legal professional to review and manage client and business agreements, focusing on risk, compliance, and protecting Folio3’s interests across its international operations.

You will assess MSAs, SOWs, NDAs and other instruments, identify unfavorable provisions, ensure alignment with data protection and cross-border requirements, and collaborate with Finance, Sales and Engineering to resolve issues efficiently.

Qualifications

• Bachelor’s degree in Law (LLB) or equivalent is required.
• 2–4 years of experience in commercial contracts, corporate legal support, or law-firm handling commercial agreements.
• Strong understanding of contract law and risk assessment.
• Practical knowledge of international/cross-border contracting.

Responsibilities

• Review and vet MSAs, SOWs, NDAs, DPAs, BAAs, vendor agreements, partnership agreements and other commercial/legal instruments from legal, contractual and risk perspectives.
• Identify and flag unfavorable or excessive provisions relating to liability, indemnity, warranties, IP ownership, confidentiality, data protection, security, termination, payment, insurance, dispute resolution and governing law.
• Assess contractual obligations against Folio3’s services, delivery model, technical capabilities and operational practices.
• Review data protection and security provisions for GDPR, cross-border data transfers, data processing, HIPAA where applicable, and ISO/ISMS commitments.
• Support cross-border agreements including governing law, jurisdiction and regulatory requirements.
• Maintain and improve standard contract templates, clause libraries, review checklists and contract-risk matrices.
• Track deviations, approvals, obligations, renewals and maintain a contract repository.
• Coordinate with Finance, Corporate, Sales, Delivery, Engineering, Information Security and external counsel to resolve issues.
• Escalate material or high-risk matters to qualified counsel and provide relevant information to support external counsel.
• Conduct legal and regulatory research on material changes affecting contractual obligations.

Job description

Support Folio3’s Finance & Corporate function in reviewing, vetting and managing client and business agreements, identifying contractual, legal, regulatory and commercial risks, and ensuring that agreements appropriately protect Folio3’s interests across its international operations.

Key Responsibilities

• Review and vet MSAs, SOWs, NDAs, DPAs, BAAs, vendor agreements, partnership agreements and other commercial/legal instruments from legal, contractual and risk perspectives.
• Identify and flag unfavorable or excessive provisions relating to liability, indemnity, warranties, IP ownership, confidentiality, data protection, security, termination, payment, insurance, dispute resolution and governing law.
• Assess contractual obligations against Folio3’s actual services, delivery model, technical capabilities, security commitments and operational practices.
• Review data protection and security provisions for alignment with applicable requirements, including GDPR, international data transfers, data processing obligations, HIPAA where applicable, and ISO/ISMS-related commitments.
• Support review of cross-border agreements, including governing law, jurisdiction, regulatory requirements and contractual obligations applicable to different client regions.
• Maintain and improve standard contract templates, clause libraries, review checklists and contract-risk matrices.
• Track contractual deviations, approvals, obligations, renewals and key compliance commitments and maintain an organized contract repository.
• Coordinate with Finance, Corporate, Sales, Delivery, Engineering, Information Security and external counsel to resolve contractual issues and obtain appropriate approvals.
• Escalate material, ambiguous or high‑risk legal matters to qualified legal counsel and support external counsel with relevant contractual and business information.
• Conduct legal and regulatory research and keep the organization informed of material changes affecting Folio3’s contractual obligations.

Required Qualifications & Knowledge

• Bachelor’s degree in Law (LLB or equivalent); legal qualification/bar admission is preferred.
• 2–4 years of experience in commercial contracts, corporate legal support, technology‑sector legal operations or a law firm handling commercial agreements.
• Strong understanding of commercial and contract law, contract interpretation and risk assessment.
• Practical knowledge of international/cross-border contracting and familiarity with common‑law contracting principles.

Preferred

• Experience supporting software development, SaaS, cloud, ERP, AI/ML, healthcare technology or eCommerce businesses.
• Exposure to IP licensing, software ownership, open‑source software, AI‑related IP/data provisions and technology service agreements.
• Familiarity with privacy and technology regulations in US, UK/EU, Middle East and other major markets.
• Experience with contract lifecycle management or legal operations tools.
