Overjet is seeking a detail‑oriented Compliance & Corporate Paralegal to bring our state regulatory compliance and corporate entity management in‑house. You will manage multi‑state licensing, track regulatory filings, and support governance for domestic and international entities.

The ideal candidate has 3+ years in compliance or corporate paralegal roles with US corporations, strong policy drafting skills, and the ability to handle deadlines across jurisdictions independently.

Formación

• 3+ years of experience in a compliance, regulatory, or corporate paralegal role with experience with US corporations.
• Demonstrated experience managing global and multi-state licensing, registrations, and/or corporate good‑standing obligations at scale.
• Strong knowledge of corporate governance principles and entity maintenance requirements.
• Strong organizational and project-management skills, with a proven ability to manage a high volume of deadlines across many jurisdictions independently.
• Track record of researching state laws and drafting compliant policies and procedures with operational stakeholders
• Excellent written communication and comfort corresponding directly with state agencies and regulators.

Responsabilidades

• Own Overjet's regulatory & state compliance program including tracking and managing multi‑state licensing, registrations, and regulatory filings.
• Maintain centralized compliance calendar covering licensing, registration, and filing deadlines; ensure nothing lapses.
• Prepare, file, and track regulatory submissions with state agencies and boards; manage correspondence with regulators.
• Support data protection and healthcare compliance programs (e.g., HIPAA, HITRUST) with documentation and audit readiness.
• Maintain corporate good standing across states—annual reports, franchise tax filings, foreign qualifications, and good‑standing certificates.
• Support contract management processes across the organization in collaboration with Revops, Finance, and business teams.
• Support corporate governance activities, including preparing board and stockholder consents, resolutions, and related documentation.
• Coordinate logistics for board and committee meetings, including scheduling, notices, and quorum tracking.
• Manage entity formation, qualification, dissolution, and conversion filings across domestic and international jurisdictions.
• Maintain good standing across all entities; monitor and manage registered agent services.

The Mission and the Hard Part

We're looking for a detail-oriented, self-driven Compliance & Corporate Paralegal to bring our state regulatory compliance and corporate entity management functions in-house. The role will focus on keeping Overjet in good standing across all jurisdictions, managing our regulatory licensing footprint, and supporting core corporate governance. The ideal candidate is comfortable operating independently across a large number of state and regulatory deadlines, thrives on process and organization, is comfortable drafting policies and procedures, and is eager to build scalable systems rather than just process filings.

Please note that this opportunity will be paid in USD. Ability to work in the Pacific Time Zone (PST/PDT) is required.

What You'll Own

Regulatory & state compliance

• Own Overjet's multi-state regulatory licensing portfolio including industry-specific licenses and registrations required to operate.
• Track and maintain compliance with state healthcare and business regulatory requirements, and monitor changes in applicable state laws and regulations that affect the company's licensing obligations.
• Maintain a centralized compliance calendar covering all licensing, registration, and regulatory filing deadlines; ensure nothing lapses.
• Prepare, file, and track regulatory submissions with state agencies and boards; manage correspondence and follow‑up with regulators.
• Support the company's data protection and healthcare compliance programs (e.g., HIPAA, HITRUST), maintaining documentation, evidence, and audit readiness in coordination with security and privacy stakeholders.

Corporate paralegal & entity management

• Maintain corporate good standing across all states—annual reports, franchise tax filings, foreign qualifications, and good‑standing certificates.
• Support contract management processes across the organization in collaboration with Revops, Finance, and business teams.
• Support corporate governance activities, including preparing board and stockholder consents, resolutions, and related documentation.
• Coordinate logistics for board and committee meetings, including scheduling, notices, and quorum tracking.
• Manage entity formation, qualification, dissolution, and conversion filings across domestic and international jurisdictions.
• Maintain good standing across all entities; monitor and manage registered agent services
• Support special projects and other duties as assigned.
