Job summary

Contour Software is seeking an intermediate to senior commercial and corporate lawyer to operate from its Karachi, Lahore, or Islamabad offices. The role involves advising on international business matters, reporting to the General Counsel, and collaborating with management across Canada, the US, Europe and Asia Pacific.

The successful candidate will handle structuring, drafting and negotiating a range of commercial agreements, support corporate transactions, and coordinate with outside firms

Qualifications

• Experience in corporate/commercial law for multinational or transatlantic companies.
• Strong drafting and negotiation skills with the ability to handle high volumes of work across time zones.
• Familiarity with software/IP contracts and technology/energy sector experience is preferred.

Responsibilities

• Structure, draft and negotiate commercial agreements including software licenses, terms and conditions, service and partnership agreements.
• Support standard corporate agreements: NDAs, marketing, intercompany and contractor agreements.
• Assist in corporate restructurings, mergers, acquisitions and formations.

The Division

The Position

We are seeking an intermediate commercial and corporate lawyer, experienced in an international business environment, ideally with experiences gained at multi-national or North America-centric organizations.

The chosen professional shall work from the Contour Karachi/Lahore/Islamabad office, report to the portfolio’s General Counsel, and collaborate with business unit management located in Canada, the US, Europe and Asia Pacific.

Key Tasks & Responsibilities

• Providing support in the structuring, drafting and negotiating of commercial agreements, including various types of software license agreements, terms & conditions, service agreements, partnership agreements and time-sensitive tenders and RFQ’s.
• Providing contract support for standard corporate agreements, such as non-disclosure, marketing, intercompany and independent contractor agreements.
• Providing administrative support for documents and activities related to corporate restructurings, such as mergers, acquisitions, and formations.
• Support the company’s acquisition activities, including participating in contract review in due diligence, preparing ancillary agreements and internal contribution agreements for acquisitions, and assisting in post-acquisition integration efforts.
• Liaising with outside firms to oversee preparation, filing, organization and maintenance of corporate books and records, including bylaws, resolutions, board of director changes, annual reports, etc.
• Assisting in matters involving creation and maintenance of corporate subsidiaries, including entity formation, entity dissolution, entity foreign qualifications, obtaining DBAs, and coordinating obtaining EINS and preparation of W-9s with tax and compliance.
• Assisting in data privacy, data security, trade control compliance and other regulatory requirements, with substantial work involving trade control compliance;
• Maintaining subsidiary lists, entity charts, and officer/director designations for entities.
• Coordinating and receiving director and officer signatures for documents and materials.

Desired Skills and Qualifications

• Ideal Candidate has US/Canada/UK/European Law degree and 5-8 years of corporate/commercial legal experience working for multi-national, trans-national or US/Canada/European companies.
• Candidates with experience involving commercial contracting, especially involving software or intellectual property, or experience at software or energy industry companies shall be preferred.
• Excellent drafting and negotiating skills, as well as the ability to handle a high volume of competing demands, are essential. Ideal candidates must be adaptable, business minded, able to prioritize, and manage workload independently and collaboratively with clients, and have experience in fast-paced environments and routinely working across international time zones.
• Excellent time management, organizational, interpersonal and communication skills are required, and candidates must have demonstrated skill and experience in effectively communicating complex issues (oral and written).
• Exposure to data protection laws and international trade control compliance will be considered an asset.
