Job summary

Gratitude Philippines seeks a Strategic Growth Initiatives Counsel – Associate Manager to support an AI & Data business team. You will provide product and legal counsel for AI, software, and data offerings, assist with go-to-market assessments, and monitor regulatory developments.

You will collaborate with contracting, IP, privacy, regulatory, and partnerships teams, while supporting M&A evaluations and template playbooks.

Qualifications

• Graduate Law degree (JD) or local equivalent.
• Admission in good standing with the applicable bar association or local equivalent.
• Minimum 5 years of relevant experience in a corporate or law firm environment.
• Relevant experience with AI, software, and non-transactional legal work.
• Experience advising on software and preferably AI-related matters.
• Knowledge of SaaS, software licensing, and AI-related contract structures.
• Understanding of, or willingness to learn, applicable AI & Data regulatory requirements.
• Strong commercial acumen and ability to work effectively with ambiguity.
• Excellent written, verbal, analytical, and interpersonal skills.
• Strong organizational skills with the ability to manage multiple workstreams.
• Proficiency in Microsoft Excel, Word, PowerPoint, and SharePoint.
• Ability to work with US time zones.
• Fluent in English.

Responsibilities

• Assess new AI, Data, and software service/product offerings and provide product counsel support.
• Develop subject-matter expertise in AI & Data and act as a point of contact for business and asset teams.
• Collaborate with Legal teams covering contracting, intellectual property, data privacy, regulatory matters, resale, and strategic partnerships.
• Support Contracting teams with playbooks, templates, guidance, and selected deal support.
• Support Ventures & Acquisitions teams in evaluating potential AI & Data acquisition targets.
• Conduct legal research related to technology, AI, software, and data.
• Develop and improve processes, tools, workplans, PowerPoint presentations, and guidance materials.
• Monitor emerging legal and regulatory developments involving LLMs, generative AI, agentic AI, and related technologies.

About the Role

The role will provide legal and product counsel support for new AI, software, and data offerings, assist with go-to-market assessments, support contracting and M&A activities, and monitor emerging technology regulations.
