The candidate should be a member in good standing of the Integrated Bar of the Philippines with at least five years of experience in law firms or in-house corporate

Qualifications

• Member in good standing of the Integrated Bar of the Philippines (IBP) is required.
• Minimum of five (5) years of relevant legal experience in law firm or in-house corporate counsel.
• Experience handling complex commercial contracts (EPC, financing agreements, power supply agreements).
• Experience in renewable energy sector is a strong advantage.

Responsibilities

• Oversee contract management and transactional support for a variety of legal agreements.
• Provide strategic legal advisory on issues affecting operations in the Philippines.
• Assist in dispute resolution and risk management, including investigations and claims.
• Ensure regulatory compliance with applicable laws and industry regulations, including energy-specific rules.

Job Summary:

The role will oversee a broad range of general corporate matters, contract review and negotiation, dispute resolution, document management and other legal activities with accountability for meeting timelines, budgets and project objectives.

Key Responsibilities:

1.ContractManagement&TransactionalSupport:

Supportbusinessteamsinreviewingandnegotiatingavarietyoflegalcontracts,including:

• EPC(Engineering,ProcurementandConstruction)contracts
• O&M(OperationsandMaintenance)contracts
• Jointventureagreements
• Debtfinancingarrangements
• Analyzecomplextransactions,includingmergersandacquisitionsandfinancialinstruments,andprovideclear,actionablelegaladvicetomanagement.
• Review,develop,andmaintainstandardizedlegaltemplatesanddocumentation.

2.StrategicLegalAdvisory

• ProvidestrategiclegaladviceonkeyissuesaffectingVenaEnergy'soperationsinthePhilippines.
• Adviseonday-to-daycorporatelegalmatters.

3.DisputeResolution&RiskManagement

• Adviseandassistinhandlingpotentialandongoingclaims,disputes,andinvestigations.
• Conductlegalresearchtosupportbusinessinitiativesandmitigaterisks.

4.RegulatoryCompliance

• Ensurecompliancewithrelevantlawsandregulations,including:
• Renewableenergysector-specificregulations
• Anti-briberyandanti-corruptionlaws
