Job summary

Vena Energy in Manila, Philippines, is seeking an experienced corporate lawyer to oversee a broad range of general corporate matters, contract review and negotiation, dispute resolution, document management, and related activities with accountability for meeting timelines, budgets and project objectives.

You will work with business teams on EPC, financing, and joint venture contracts, provide strategic legal advice for operations, manage disputes and regulatory compliance in the renewable energy

Qualifications

• Member in good standing of the Integrated Bar of the Philippines (IBP).
• At least five years of relevant legal experience in a law firm and/or in-house counsel.
• Experience handling complex commercial contracts including EPC, financing, and Power Supply agreements.

Responsibilities

• Review and negotiate a variety of legal contracts including EPC, O&M, joint ventures and debt financing.
• Provide strategic legal advisory on issues affecting Vena Energy’s Philippines operations.
• Advise and assist in disputes, investigations and risk management.
• Ensure regulatory compliance with energy laws, anti-bribery, and related regulations.

Job Summary:

The role will oversee a broad range of general corporate matters, contract review and negotiation, dispute resolution, document management and other legal activities with accountability for meeting timelines, budgets and project objectives.

Key Responsibilities:

1. ContractManagement & Transactional Support

Supportbusinessteamsinreviewingandnegotiatingavarietyoflegalcontracts,including:

• EPC(Engineering,ProcurementandConstruction)contracts
• O&M(OperationsandMaintenance)contracts
• Jointventureagreements
• Debtfinancingarrangements
• Analyzecomplextransactions,includingmergersandacquisitionsandfinancialinstruments,andprovideclear,actionablelegaladvicetomanagement.
• Review,develop,andmaintainstandardizedlegaltemplatesanddocumentation.

2. StrategicLegalAdvisory

• ProvidestrategiclegaladviceonkeyissuesaffectingVenaEnergy’soperationsinthePhilippines.
• Adviseonday-to-daycorporatelegalmatters.

3. DisputeResolution & RiskManagement

• Adviseandassistinhandlingpotentialandongoingclaims,disputes,andinvestigations.
• Conductlegalresearchtosupportbusinessinitiativesandmitigaterisks.

4. RegulatoryCompliance

• Ensurecompliancewithrelevantlawsandregulations,including:
• Renewableenergysector-specificregulations
• Anti-briberyandanti-corruptionlaws

Pre-requisites:

ProfessionalCredential: MemberingoodstandingoftheIntegratedBarofthePhilippines(IBP)

Experience:

• Atleast five (5) yearsofrelevantlegalexperienceinalawfirmand/orasin-housecorporatecounsel
