Job summary

WHR Global Consulting is seeking an experienced Legal Officer to lead the organization's legal function from Taguig on a full-time, on-site basis.

The role requires 3–5 years post-bar experience, a J.D. or LL.B., and strong expertise in corporate housekeeping, contracts, and regulatory compliance. You will advise management, manage governance records, and coordinate with regulators and counsel.

Qualifications

• Juris Doctor or Bachelor of Laws required.
• IBP membership in good standing preferred.

Responsibilities

• Lead the organization's legal function and provide practical legal advice to management and business units.
• Manage corporate housekeeping: board/shareholder resolutions, minutes, SEC filings, corporate records.
• Draft, review, negotiate, and approve contracts and other legal documents.
• Ensure compliance with Philippine laws and regulatory reporting requirements.
• Support financing, lending, procurement, employment, and commercial transactions.
• Identify, assess, and mitigate legal risks affecting operations.
• Develop and review company policies, governance documents, and legal frameworks.
• Coordinate with regulators, external counsel, auditors, and stakeholders on legal matters.
• Manage disputes, claims, investigations, and litigation with external counsel when needed.
• Monitor regulatory developments and advise on actions for financing companies.

About the Role

We are seeking an experienced and business-oriented Legal Officer to lead the organization's legal function, provide legal guidance to management, ensure regulatory compliance, and manage legal risks across the business.

Key Responsibilities

• Lead the organization's legal function and provide practical legal advice to management and business units.
• Manage corporate housekeeping requirements, including board and shareholder resolutions, minutes, SEC filings, and corporate records.
• Draft, review, negotiate, and approve contracts, agreements, and other legal documents.
• Ensure compliance with applicable Philippine laws, regulations, and regulatory reporting requirements.
• Support financing, lending, collections, procurement, employment, and commercial transactions.
• Identify, assess, and mitigate legal risks affecting business operations.
• Develop and review company policies, procedures, governance documents, and legal frameworks.
• Coordinate with regulators, external counsel, auditors, and other stakeholders on legal matters.
• Manage disputes, claims, investigations, and litigation with external counsel when necessary.
• Monitor legal and regulatory developments relevant to financing companies and recommend appropriate actions

Qualifications

• Juris Doctor (J.D.) or Bachelor of Laws (LL.B.) degree.
• Member in good standing of the Integrated Bar of the Philippines (IBP).
• 3–5 years of post-bar legal experience, preferably in corporate law, commercial law, or in-house legal practice.
• Strong experience in corporate housekeeping, contract drafting and review, and regulatory compliance.
• Working knowledge of Philippine corporate, commercial, labor, and regulatory laws.
• Familiarity with SEC reportorial requirements, corporate governance, and corporate documentation.
• Proven legal drafting, negotiation, research, analytical, and problem-solving skills.
• Strong communication, stakeholder management, and business advisory skills.
• Ability to provide practical and business-oriented legal advice to management and operating teams.
• High level of integrity, professionalism, sound judgment, and ability to work independently.
• Experience in a financing company, lending company, bank, fintech, or financial services organization is highly preferred but not required.
• Transportation Allowance – Php 150/working day
