Bolder Group is expanding its Governance team in the Philippines. This role oversees day-to-day governance operations, regulatory filings, and client onboarding with a focus on KYC/AML compliance across jurisdictions.

The successful candidate will lead a team of governance professionals, review documents, and implement process improvements while collaborating with global colleagues and stakeholders to ensure timely, accurate deliverables.

Qualifications

• 10+ years in governance, corporate services, fund administration, or compliance.
• Strong understanding of governance, regulatory requirements, and KYC/AML.
• Experience reviewing work, delivering results, and guiding juniors.
• Excellent stakeholder communication and attention to detail.

Responsibilities

• Oversee day-to-day Governance team operations and regulatory filings.
• Draft and review standard and bespoke legal documents and agreements.
• Coordinate client onboarding, including bank accounts and KYC due diligence.
• Maintain client and stakeholder communications for timely delivery.
• Oversee AML services, regulatory and tax reporting; meet deadlines.
• Monitor regulatory developments and update internal policies.
• Lead, coach, and review team members for quality and consistency.
• Identify process improvements and standardisation initiatives.
• Escalate complex issues to senior management as needed.
• Support onboarding projects and ad hoc assignments.

Governance/ Compliance Manager (Financial Services)

Bolder Group is an international provider of corporate, private, fund, and governance services to a wide range of clients across its global offices. As part of our rapid expansion in Asia, we are currently seeking a Governance Manager for our Philippines office. In this role, you will be part of our global Governance team, overseeing governance-related matters and supporting the management and development of a team of Governance professionals.

Responsibilities

• Oversee day-to-day operations within the Governance team, including the preparation and review of legal documents and filings with multiple regulatory authorities across various jurisdictions.
• Draft, review, and enhance standardised and bespoke legal documentation, including letters, minutes, resolutions, agreements, and other corporate instruments.
• Manage and coordinate client onboarding activities, including bank account openings and ensuring Know Your Customer (KYC) and due diligence documentation is complete and compliant.
• Maintain strong client and stakeholder communication, ensuring timely delivery and effective resolution of operational issues.
• Oversee the execution of Anti-Money Laundering (AML) services, regulatory reporting, and tax reporting deliverables (including FATCA and CRS), ensuring all requirements and deadlines are met.
• Monitor relevant regulatory developments and support the implementation of updates to internal policies and processes.
• Lead, coach, and review the work of team members, fostering development and ensuring quality and consistency of deliverables.
• Identify and support process improvements and standardisation initiatives within the team.
• Escalate complex issues, risks, or client concerns to senior management as appropriate.
• Support internal initiatives, onboarding projects, and ad hoc assignments as required.

Ideal skills and competencies

• Ideally, candidates will possess more than 10 years of progressive experience in governance, corporate services, fund administration, or compliance.
• Strong understanding of corporate governance, regulatory requirements, and KYC/AML frameworks.
• Proven experience in reviewing work, managing deliverables, and guiding junior team members.
• Excellent stakeholder management and communication skills.
• Strong attention to detail, organisation, and ability to manage multiple priorities.
• Proactive, solutions-driven, and client-focused approach.
