Job summary

Infra One, part of the Allocator One ecosystem, is seeking an In-House Counsel to lead international venture and PE deal structuring. You will ensure deals are structured, negotiated, and executed to the highest standards, with a focus on governance and cross-border considerations.

The role offers a remote-first, global environment with exposure to high-profile international transactions and flexible collaboration with deal teams and external counsel.

Qualifications

• Qualified lawyer with corporate/M&A and PE experience.
• 5+ years in top firms or in-house roles.
• Strong negotiation and drafting abilities.

Responsibilities

• Lead structuring and execution of venture capital and private equity transactions.
• Draft, review, and negotiate investment agreements, shareholder agreements, and related contracts.
• Provide strategic advice on governance, cross-border structuring, and regulatory considerations.
• Collaborate with internal deal teams and external counsel to ensure timely deal completion.
• Track market and legal developments in venture and private equity to anticipate risks and opportunities.
