Job summary

Hammerjack Pty Ltd seeks a senior contracts attorney to lead the legal strategy for business contracts in our revenue-management teams. You will draft, review, and negotiate complex enterprise agreements, service contracts, and reseller arrangements, ensuring compliance and enforceable terms.

You will collaborate with enterprise units, privacy, finance, and regulatory teams to mitigate risk and protect commercial interests in a fast-paced ICT environment in the Philippines.

Qualifications

• Must hold Juris Doctor degree and be in good standing with the Philippine Bar.
• 3–5 years of related legal experience, preferably in contracts, commercial transactions, telecommunications or ICT sectors.
• Experience in preparing, reviewing, negotiating, and managing commercial contracts is preferred.

Responsibilities

• Lead, prepare, review, and finalize contracts pertaining to telecommunications services, ICT, and enterprise contracts.

EDUCATION

• Juris Doctor degree
• Passed the Philippine Bar Examination (Member in good standing of the Integrated Bar of the Philippines)

WORK EXPERIENCE

• At least 3-5 years of related legal experience, preferably in contracts, commercial transactions, telecommunications, ICT, technology, corporate, or regulatory practice.
• Experience in preparing, reviewing, negotiating, and managing commercial, revenue, service, reseller, technology, infrastructure, or enterprise customer contracts is preferred.

FUNCTIONAL

Business Contracts Legal Strategy and Standards

1. Lead, perform, and provide legal standards, solutions, and recommendations as the legal expert on Business Contracts to enable, execute, and drive the legal strategies and initiatives of the Revenue Contracts Management center.
2. Provide strategic legal support to Enterprise Business and non-core business units of PLDT for revenue generating, revenue-enabling, and related commercial transactions.

Contract Preparation, Review, and Negotiation

1. Prepare, review, and finalize contracts pertaining to telecommunications services, value-added services, managed ICT services, reseller arrangements, enterprise products, and other business contracts of PLDT Enterprise.
2. Review and advise on master services agreements, service schedules, amendments, memoranda of agreement, reseller agreements, referral and marketing arrangements, sponsorship contracts, non-disclosure agreements, infrastructure access documents, and other revenue-related agreements.
3. Ensure that commercial terms, service scope, payment mechanics, service levels, liability provisions, data privacy obligations, intellectual property rights, termination rights, and dispute resolution provisions are legally sound and protective of PLDT's interests.

Legal Advice, Risk Management, and Stakeholder Support

1. Provide opinions on legal issues and render legal advice regarding interpretation of contractual rights, performance obligations, compliance requirements, and enforcement remedies.
2. Identify legal, commercial, regulatory, operational, data privacy, competition, and enforcement risks in proposed transactions and recommend practical mitigation measures to management and business units. 3. Coordinate with business units, technical teams, finance, regulatory, procurement, tax, data privacy, information security, and other stakeholders to align contract terms with PLDT's business objectives and legal requirements.

Contract Issue Management and Pre Litigation Support

1. Manage and help resolve contract issues, escalations, customer concerns, default situations, service level disputes, payment disputes, termination concerns, and other pre litigation matters.
2. Coordinate with the Dispute Resolution Management center, as needed, in assessing claims, preserving evidence, formulating settlement positions, and preventing avoidable litigation exposure.

Templates

1. Develop, update, and maintain contract templates, playbooks, clause libraries, review standards, and negotiation positions for Enterprise Business and other assigned revenue contracts.
2. Perform other duties assigned by the Chief Legal Counsel or Head of the Revenue Contracts Management center.

1. Accountable for the budget, performance, and results of the organization, as applicable.
2. Address issues with impact beyond own organization based on knowledge of related disciplines.
3. Perform other related duties and responsibilities that may be assigned from time to time.
