Progressive in Riyadh invites a Governance Director (SAUDI NATIONALS ONLY) to lead the development and ongoing enhancement of the corporate governance framework, ensuring DoA alignment with strategic goals and regulatory requirements.

You will advise the Board, shape governance policies, and foster a culture of transparency and risk awareness across the energy and power sectors.

Qualifications

  • Bachelor's degree in Law or related field.
  • Master's degree in Law or related field is a plus.
  • Professional certifications in Governance & Compliance are beneficial.

Responsibilities

  • Lead the development, implementation, and continuous improvement of the corporate governance framework.
  • Ensure the DoA and authority matrix remain aligned with objectives, regulatory requirements and governance best practices.
  • Advise and support the Board and committees on governance, compliance and fiduciary matters.
  • Develop, communicate, and maintain governance policies and procedures across the organisation.
  • Review and enhance internal policies, procedures, manuals, charters, and processes for governance standards alignment.
  • Promote a culture of transparency, accountability, risk awareness, and ethical business conduct.

Key Responsibilities:
  • Lead the development, implementation, and continuous improvement of the corporate governance framework.
  • Ensure the Delegation of Authority (DoA) and authority matrix remain aligned with business objectives, regulatory requirements, and governance best practices.
  • Advise and support the Board and its committees on governance, compliance, and fiduciary matters.
  • Develop, communicate, and maintain governance policies and procedures across the organisation.
  • Review and enhance internal policies, procedures, manuals, charters, and processes to ensure alignment with governance standards and constitutional documents.
  • Promote a culture of transparency, accountability, risk awareness, and ethical business conduct.
Candidate Requirements:
  • Must be Saudi National.
  • Proven experience for 13+ years in corporate governance, board affairs, compliance, or company secretarial functions.
  • Must have corporate governance experience for a large business operating within the energy or oil & gas sector in KSA.
  • Strong understanding of governance frameworks, regulatory compliance, and risk management principles.
Qualifications Needed:
  • Bachelor's degree in Law or related field.
  • Master's Degree in Law or a relevant field is a plus.
  • Professional certifications in Governance & Compliance (CCEP, GRC Professional Certification, CISA) are beneficial
