Job summary

FirstCape is seeking an experienced General Counsel to join in a part-time, 0.6 FTE capacity. The role provides focused legal and governance support across the FirstCape Group and reports to the Director, Head of Corporate Development and Strategy.

You will advise the Group CEO, Chair and Board on governance, corporate transactions and material legal risks. The role prioritises high-impact governance work within the Group, coordinating with subsidiary heads and external advisers while

Qualifications

• Strong corporate, commercial and governance legal capability with Board governance, corporate transactions and M&A experience.
• Ability to prepare and review governance papers, delegated authority docs and transaction approvals.
• Excellent drafting and review skills for Board-ready documentation.

Responsibilities

• Provide practical, commercially balanced legal advice to the Group CEO, Chair, Board and senior leadership.
• Support mergers and acquisitions and other corporate activity including due diligence, structuring and post-completion matters.
• Prepare and coordinate Board/shareholder resolutions and governance documentation.
• Oversee governance services to the Board, Chair, CEO and executive team.
• Coordinate with subsidiary heads on Group-level matters while respecting subsidiary responsibilities.
• Identify material legal risks and provide mitigation recommendations.
• Manage external legal advisers to ensure cost-effectiveness.
• Support corporate procurement activities from a legal perspective.
• Maintain confidentiality and professional judgement across governance matters.
