Job summary

Vistra Netherlands is hiring a Senior Legal Services Lawyer for our Corporate client portfolios. Based in our Amsterdam office, you will provide a full range of legal advice and services, supervising junior corporate lawyers and coordinating with colleagues across the team to ensure high client satisfaction.

You will handle complex corporate and compliance matters, manage deadlines, and collaborate with relationship managers to grow the corporate business.

Qualifications

• Structured, detail-oriented person with high quality and client satisfaction focus.
• Excellent command of English, verbal and written.
• Strong knowledge of Microsoft Office (Excel, Word, PowerPoint).
• Minimum 4 years relevant experience in providing legal support in a corporate environment.

Responsibilities

• Review transactional documentation related to financings, acquisitions, mergers and restructurings.
• Identify legal/compliance issues and translate into transaction clearance summaries.
• Prepare and review corporate documents; coordinate with law/accounting/audit firms and notaries.
• Coordinate legal documentation for approval and adoption of financial statements; assist auditors.
• Identify ongoing legal and compliance risks for client entities in Vistra Corporates.
• Manage day-to-day corporate legal matters in accordance with Dutch law.
• Maintain corporate files with timely, accurate documentation; meet statutory deadlines.
• Communicate with clients, shareholders, and advisors on legal matters.
• Coach junior and medior Legal Services Lawyers.

Reporting to the Senior Relationship Manager Corporates, this full-time and permanent position is based in our Amsterdam office and offers local coverage, allowing you to make a significant impact to our Corporate business and it’s growth.

Would you like to deploy your legal expertise in a young, energetic, fast paced family? Vistra Netherlands is looking to recruit a Senior Legal Services Lawyer for our Corporate client portfolios.

You will provide a full range of legal advice and services, coordinating and supervising the daily activities of junior corporate lawyers and acting as a resource for colleagues and less experienced team members.

In your day to day activities you will work with a tight team of Legal working on the same portfolio as you are, along with dedicated financials and relationship managers. You will work together to ensure high client satisfaction, solve complex questions and provide a full range of corporate services. In addition you will be able to spar with experienced legal team members on other portfolio’s and expand your knowledge and grow together.

Key Responsibilities

• Review transactional documentation relating to (re)financings, acquisitions, mergers, restructurings and other corporate matters;
• Identify, in relation to such transactions, potential legal or compliance issues, risks, understand deal terms and implications and translate into Vistra (transaction) clearance summary with follow up actions (if necessary);
• Prepare and/or review the resolutions, agreements, power of attorney and other documents related to legal transactions and coordination and clear coordination with involved law / accounting / audit / tax firms, notaries, Dutch chamber of commerce, etc.;
• Coordinate, review and prepare the legal documentation for approval and adoption financial statements as well as coordination of assistance of auditor;
• Identify legal and compliance risks on an ongoing basis, concerning all client entities in the Vistra Corporates portfolio;
• Handle, with your team of lawyers, day-to-day management of client entities and corporate legal matters in accordance with Dutch corporate law and regulations;
• Corporate and compliance client files are being maintained properly, through timely and accurate drafted, reviewed and revised corporate legal documentation;
• Ensure, with your team of lawyers, that deadlines of statutory / corporate legal matters are met;
• Deal with legal or compliance issues, when identified or flagged by lawyers or other team members, relating to client structures and proposed transactions, swiftly and creatively;
• Proactively identify any potential (Director's) liabilities;
• Proactive and professional (verbal and written) communication with clients, shareholders, advisors and other relevant parties concerning legal matters;
• Build and manage professional business relationships with clients;
• Coach Junior and Medior Legal Services Lawyers in their day-to-day job;

Key Requirements

• Structured, detail-oriented person, with a high focus on quality and client satisfaction;Excellent command of the and English language, verbal and written;
• Sound knowledge of Microsoft Office (Excel, Word, PowerPoint);
• Sound knowledge of Book 2 Dutch Civil Code and basic accounting knowledge;
• Minimum 4 years relevant experiences in providing Legal support in a Corporate environment;
• Experience in managing and advising (international) clients;
• Completed Master in Law (Dutch Law with emphasis on company law, Notary law or Fiscal law).
