Job summary

Redcare Pharmacy, Europe’s No.1 e-pharmacy, is seeking a Corporate Counsel to strengthen governance and compliance for a listed international business. You will advise on Dutch and German corporate law, support housekeeping, and drive policies to ensure integrity and transparency.

You will collaborate with senior stakeholders to align regulatory reporting, governance practices, and risk mitigation across the organization.

Qualifications

• Academic degree in Law with at least 4 years of relevant experience in Dutch corporate law and corporate governance.
• Experience in cross-border or international environment is a plus.
• Fluent in English (written and spoken).
• Excellent communication and stakeholder management skills.
• Proactive, pragmatic, and business-oriented approach to legal advice.
• Proven project management experience implementing new legal and regulatory requirements.
• High level of integrity, discretion, and confidentiality.

Responsibilities

• Advise on Dutch and German corporate law, governance, and regulatory requirements to ensure compliance.
• Support corporate housekeeping, entity management, and group structuring with internal stakeholders.
• Develop, maintain, and advise on governance policies and related templates and documentation.
• Prepare annual reporting materials, shareholder communications, and AGM documentation.
• Prepare board meeting materials, corporate calendar, and follow-up actions.

About the Role

As Corporate Counsel, you will play a key role in ensuring the company's governance framework is robust, compliant, and fit for a listed international business. You will provide strategic legal advice on corporate law, governance, and regulatory reporting, helping the organization navigate its obligations under Dutch and German listed company requirements.

Working closely with senior stakeholders across the business, you will drive governance initiatives, support corporate housekeeping activities, and promote a strong culture of integrity and ethical decision-making. Your impact will be reflected in the quality of the company's governance, consistent regulatory compliance, and the trust you build with internal and external stakeholders.

About your tasks

• Advise on corporate law and housekeeping and governance to ensure compliance with applicable Dutch and German regulatory requirements.
• Support corporate housekeeping, entity management, and group structuring activities in collaboration with internal stakeholders.
• Develop, maintain, and advise on policies and procedures related to corporate governance themes, as well as other legal templates and documentation.
• Support the preparation of annual reporting materials, shareholder communications, and documentation related to annual general meetings.
• Support the preparation of managing board and supervisory board meeting materials, the corporate calendar and meetings including follow-up actions.
• Monitor legal and regulatory developments and translate changes into practical recommendations and business-focused guidance.
• Identify legal risks and recommend appropriate mitigation measures.
• Drive continuous improvement of governance processes, legal policies, and compliance frameworks to enhance efficiency and transparency.

About you

• Academic degree in Law and a minimum of 4 years of relevant experience in Dutch corporate law and corporate governance.
• Experience working in a cross-border or international environment is a plus.
• Excellent communication and stakeholder management skills.
• High level of integrity, objectivity, discretion, and confidentiality.
• Proven project management experience in implementing new legal and regulatory requirements.
• Proactive, pragmatic, and business-oriented approach to legal advice.
• Fluency in English, both written and spoken.
