We are seeking a Chief Legal Officer fluent in Dutch to lead the company’s legal and regulatory function. The role focuses on ensuring regulatory “substance” and compliance with Markets in Crypto-Assets Regulation, overseeing asset safeguarding obligations, and managing inter-group and outsourcing governance. The CLO will act as a key legal and strategic advisor to the Board and senior management.
Key Responsibilities:
Regulatory Substance & MiCAR Compliance
- Ensure the company maintains robust regulatory substance and compliance with MiCAR obligations
- Provide legal guidance on licensing, governance, and regulatory reporting requirements
- Advise the Board and executive leadership on regulatory developments impacting the business
Asset Safeguarding Oversight
- Oversee custody, safeguarding, and protection of client assets
- Advise on legal and contractual frameworks for asset segregation and risk mitigation
- Ensure operational and legal controls meet regulatory expectations
Inter-Group & Outsourcing Governance
- Manage legal aspects of inter-group arrangements and third-party outsourcing agreements
- Oversee vendor contracts, Service Level Agreements (SLAs), and outsourcing governance
- Ensure outsourced and intra-group functions remain under the effective control of the authorised entity
Requirements:
- Law degree and qualified to practice in the Netherlands; fluency in Dutch required
- 10+ years of experience in financial services, fintech, or digital assets, including regulatory compliance
- Deep understanding of MiCAR, EU financial services regulations, and asset safeguarding requirements
- Experience managing outsourcing, inter-group legal arrangements, and regulatory governance
- Strong leadership, strategic advisory, and stakeholder management skills
