Lives Group is seeking a Legal and Compliance Counsel for its office in Kelana Park View Selangor, Malaysia. The role entails reviewing and negotiating commercial agreements, managing legal risks, and advising on governance, corporate secretarial matters and regulatory compliance.

You will support HR, Quality, Regulatory and other functions, assist in mergers & acquisitions, and develop policies and playbooks to ensure consistent contract review and risk management across the Group.

Responsabilités

• Review, draft and negotiate commercial agreements, including distribution, supply, customer, tender, vendor, licensing and service agreements, ensuring appropriate protection of the Group's interests.
• Identify and manage legal and commercial risks and provide practical recommendations to support business objectives while ensuring compliance with applicable laws and regulations. Escalate material or non-standard risks to senior management where appropriate.
• Develop and maintain legal playbooks, standard contractual positions and review guidelines to support consistent and efficient contract review and approval.
• Advise on corporate governance matters, including Board matters, corporate documentation, resolutions, statutory records and coordination with external company secretaries.
• Manage legal disputes, litigation, regulatory investigations and claims, including the engagement and management of external legal counsel where required.
• Advise on employment law, intellectual property, regulatory and other legal matters affecting the Group's operations, and provide legal support to HR, Quality, Regulatory and other business functions where required.
• Provide legal support for mergers and acquisitions, corporate restructuring and other strategic business transactions, including due diligence and transaction documentation.
• Develop and implement legal and compliance policies, conduct compliance reviews and risk assessments, and provide legal and compliance training to employees and relevant stakeholders.
• Establish and improve legal processes, including contract submission, approval, document management and tracking of key contracts, licences and renewal obligations.
• Monitor relevant changes in laws and regulations and advise management on their potential impact on the business.
• Provide periodic updates to management on key legal matters, material risks, contract matters and other issues requiring attention.
• Perform other legal and compliance duties as required by the business.
