To support the Corporate Services Department in ensuring compliance with the Companies Act 2016, Bursa Malaysia Listing Requirements (where applicable), corporate governance requirements, and statutory obligations of the Group of Companies. The role is responsible for coordinating board and committee matters, maintaining statutory records, facilitating regulatory compliance, and supporting corporate exercises and governance initiatives.
Coordinate Board, Board Committee, EXCO and shareholders’ meetings, including preparation of notices, agendas, papers, resolutions and minutes.
Ensure timely statutory filings and maintenance of statutory records with SSM, Bursa Malaysia and relevant authorities.
Support corporate governance and compliance matters, including monitoring regulatory requirements and internal governance framework, such as director succession planning, board annual disclosure and evaluation.
Assist in corporate exercises such as incorporation, restructuring, share transactions, acquisition/disposal, liquidation and other corporate actions.
Liaise with regulators, external company secretaries, auditors, legal advisors and internal stakeholders on corporate matters.
Support preparation and production of annual reports, governance disclosures and ad hoc corporate assignments.
Bachelor’s Degree in Law, Business Administration, Corporate Administration, Governance, or related disciplines.
ICSA/MAICSA qualification or pursuing MAICSA qualification is an added advantage.
Minimum 3 years of relevant working experience in company secretarial, corporate services, legal or governance-related functions.
Familiar with Companies Act 2016, Bursa Malaysia Listing Requirements, Malaysian Code on Corporate Governance (MCCG) and relevant regulatory requirements.
Strong drafting skills for Board papers, resolutions and meeting minutes.
Good communication, stakeholder management and coordination skills.
Meticulous, organized and able to manage multiple deadlines in a fast-paced environment.
