Job summary

Private Advertiser in Malaysia seeks a senior legal counsel to provide advice on construction contracts, corporate matters and business operations. The role involves reviewing and negotiating contracts, advising on risks, and coordinating with external counsel.

The candidate will ensure compliance with Bursa Malaysia Listing Requirements and the Companies Act, support Board governance, and develop compliance programs. Experience with construction law and disputes is highly valued.

Qualifications

• Malaysian Bar-qualified lawyer with relevant corporate legal experience.
• Familiarity with Bursa Malaysia Listing Requirements, Companies Act 2016 and corporate governance practices.
• Experience in the construction, infrastructure or engineering industry is highly preferred.
• Strong knowledge of construction contracts and construction law.
• Experience handling disputes, adjudication, arbitration and litigation.
• Excellent drafting, negotiation and communication skills.
• Excellent command of written and spoken English is mandatory.

Responsibilities

• Provide legal advice on construction contracts, corporate matters and business operations.
• Review, draft and negotiate construction contracts, consultancy agreements, joint venture agreements and commercial contracts.
• Advise management on legal and contractual risks.
• Coordinate with external legal counsel on legal proceedings.
• Ensure compliance with Bursa Malaysia Listing Requirements, Companies Act and other applicable legislation.
• Support Board and Board Committee matters from a legal and governance perspective.
• Develop legal policies, governance frameworks and compliance programs.
• Monitor regulatory developments affecting the construction industry.
• Manage corporate governance documentation and legal records.
• Support whistleblowing, ethics and anti-bribery compliance initiatives.
• Oversee intellectual property, licensing and regulatory approvals where applicable.
• Support mergers, acquisitions, joint ventures and corporate restructuring activities when required.
