Job summary

Ditrolic Energy is seeking an in-house Legal Counsel or Commercial Lawyer to review and negotiate contracts across project deeds, PPAs and EPC/service agreements. You will identify key risks, propose commercially sound solutions with tender teams, and manage guarantees, bonds, and subcontracts for use by project teams.

You will also guide project teams through the full lifecycle of projects, supervise external lawyers, and provide training on contract law and updated legislation.

• Administer and manage all contractual matters, process payments, and prepare contractual correspondences.
• Defend the company in disputes by documenting cases in a systematic, commercial manner.

This role involves reviewing and negotiating a variety of contracts, including Project Deeds, Tender deeds, Power Purchase Agreements (PPA), consultancy, engineering, procurement and construction contracts and service contracts. You will identify key project risks and prepare commercially focused solutions to manage and mitigate risks with the tender teams, advise on and review guarantees, bonds and other security documents, and develop and assist with the negotiations of subcontracts for use by project teams.

Key responsibilities

• Review and negotiate a variety of contracts, including Project Deeds, Tender deeds, Power Purchase Agreements (PPA), consultancy, engineering, procurement and construction contracts and service contracts
• Identify key project risks and prepare commercially focused solutions to manage and mitigate risks with the tender teams
• Advise on and review guarantees, bonds and other security documents
• Develop and assist with the negotiations of subcontracts for use by project teams
• Manage and provide instructions to external lawyers
• Provide advice and guidance to project teams on issues arising throughout the full life cycle of projects
• Plan and review commercial terms and conditions in the negotiation of new projects
• Provide training to project and Sales and Origination teams on contract law and updates of applicable legislation
• Administer and manage all contractual matters, process and prepare all payment certifications, formulate standard forms and procedures, prepare all contractual correspondences
• Defend the company in event of disputes by documenting the case in a systematic and commercial manner

About you

• In-house Legal Counsel, Corporate Lawyer, or Commercial Lawyer with experience in construction, infrastructure or major projects
• Excellent communication skills and legal drafting skills
• Verbal reasoning skills - ability to interpret the precise meaning of written documents such as contracts, legislation, case decisions
• Risk assessment and risk mitigation skills - ability to identify risk/issues and offer practical commercially appropriate solutions
