Smart Tech Tank Sdn Bhd is seeking a highly motivated and analytical Corporate Legal Executive to support the Company's commercial activities, contract management, regulatory compliance, and debt recovery strategies. The successful candidate will be responsible for evaluating legal risks, drafting and negotiating agreements, managing lawful debt recovery processes, and ensuring that all company projects and operations comply with local regulations and corporate governance standards.
Draft and issue formal Letters of Demand (LOD) to defaulting clients, customers, or partners in strict compliance with the law.
Negotiate payment restructurings, settlement schemes, and draft legally binding Settlement Agreements to secure unpaid funds.
Assess the financial viability of taking legal action against debtors and coordinate with external panels of lawyers to initiate formal lawsuits or execution proceedings (e.g., winding-up, garnishment).
Review client credit applications and advise business.
Prepare, review, and negotiate a wide range of commercial contracts. This includes Vendor Agreements, Non-Disclosure Agreements (NDAs), Service Level Agreements (SLAs), and Joint Venture (JV) Agreements.
Create and maintain standardized contract templates across different departments to ensure consistency and minimize corporate liability.
Advise management on legal remedies, termination clauses, and compensation claims when a third party breaks an agreement.
Provide daily legal counsel to management, Human Resources, Finance, and Operations teams on operational issues.
Identify potential legal traps in new business ventures, marketing campaigns, or strategic projects and suggest ways to lower those risks.
Ensure the company complies with local laws, such as data privacy acts (e.g., PDPA), employment laws, and consumer protection acts.
Work closely with the Company Secretary to handle Board of Directors meetings, prepare corporate resolutions, and maintain statutory compliance under the Companies Act.
Act as the primary point of contact for external law firms representing the company in court or arbitration.
Collect internal data, documents, and witness statements to build strong legal defenses or claims for the company.
Maintain and update the company’s legal repository, including contract registers, litigation trackers, and statutory documents.
Assist in standardizing contract templates across the organization to improve operational efficiency.
Liaise with the Company Secretary regarding Board resolutions, annual filings, and statutory compliance under the Companies Act 2016.
Conduct internal briefings or training for other departments on basic legal awareness and risk prevention (e.g., credit control or data privacy).
Handle ad-hoc administrative or corporate assignments as directed by the Management.
