The Palace Company Europe is seeking a Senior Legal Counsel to join its Legal Department in Milan. The role focuses on corporate secretariat, contract negotiation, and compliance across Italian and international operations.

The successful candidate will lead cross-border contracts, support operations, procurement, real estate, and privacy matters, while ensuring governance and regulatory adherence. Fluency in English is required; Spanish is a plus.

Competenze

• Degree in Law and 8–10 years' experience in the legal departments of structured companies.
• Excellent knowledge of civil, commercial and corporate law with autonomy and results orientation.
• Experience in cross-border contracts and corporate secretary, governance and compliance.

Mansioni

• Oversee the entire Corporate Secretariat and the deadlines of the various Italian and foreign entities of the group, including preparation of documentation for Boards of Directors and Shareholders' Meetings.
• Provide legal support to corporate functions (operations, procurement, marketing, real estate) in civil, commercial and corporate law.
• Draft, review and negotiate contracts relating to hotel management, lease and rental of business units, supply of goods and services, and commercial agreements.
• Coordinate opening and development of new facilities.
• Monitor regulatory evolution of tourism, consumer protection and privacy; guide adaptation processes.
• Coordinate management of litigation with professionals and management of client claims.
• Oversee corporate compliance activities, including Organisational Models under Legislative Decree 231/2001 and group policies.
• Manage privacy issues, coordinating with parent company and internal privacy functions.
