Nippon Gases UK & Ireland is seeking a Legal Expert to join its Milan-based Legal & Compliance Department on a fixed-term contract to cover maternity leave. The role will draft and negotiate contracts in Italian and English, advise on corporate governance and compliance programs, and support M&A activities and litigation coordination.

The ideal candidate holds a Master’s Degree in Law with qualifying legal credentials, 5–7 years in an international firm or corporate legal office, fluent

Competenze

  • Master’s Degree in Law and Lawyer’s qualification.
  • 5–7 years’ experience in a law-firm or international firm and in a company’s legal office.
  • Fluent English (written and spoken); good knowledge of French to interact with the French subsidiary.

Mansioni

  • Compliance Program and drafting of corporate procedures and internal trainings (including D.lgs 231/01, GDPR and Antitrust).
  • Drafting, reviewing and negotiating different kind of contracts in Italian and in English, including EPC contracts and plants’ purchase and sale contracts.
  • Drafting standard agreements, templates and general terms and conditions.
  • Legal assistance for M&A transactions, including divestitures, sale of assets, purchase of business units, merger and acquisition and due diligence.
  • Assistance for litigation: coordination of external lawyers and management of civil and administrative proceedings.
  • Giving legal opinions and advice to internal clients.
  • Legal assistance on corporate governance matters, drafting minutes of shareholders and board of directors meetings and of corporate by laws, shareholders agreements and proxies.

We are seeking a Legal Expert to join our Legal & ComplianceDepartment in Milan on a fixed-term contract to provide maternity leave cover.

Key Responsibilities:
  • Compliance Program and drafting of corporate procedures and internal trainings (including D.lgs 231/01, GDPR and Antitrust);
  • Drafting, reviewing and negotiating different kind of contracts, in Italian and in English, including EPC contracts and plants’ purchase and sale contracts;

Required Skills and Experience
  • Master’s Degree in Law and Lawyer’s qualification;
  • At least 5/7-years’ experience in a law-firm or in an international firm and in company’s legal office;
  • Attention to detail and a high degree of accuracy;
  • Flexibility and ability to adapt to a constant changing environment;
  • Full commitment in terms of time and effort;
  • High ethical standards and integrity, high level of discretion
  • Fluent English (written and spoken); good knowledge of French is required to interact effectively with the French subsidiary;

  • Remuneration and Benefits: We are offering a fixed-term contract for maternity leave cover. The gross monthly salary is around € 3,000.
