A global insurance provider is seeking an experienced In House Counsel for its Group Strategic Legal Affairs team in Milan. The ideal candidate should have at least 4 years of experience in M&A and corporate finance within international law firms or legal departments. Strong Italian and English proficiency is required. This full-time role involves negotiation, legal analysis, and close collaboration with internal stakeholders and external advisors.

Within the Group General Counsel function, we are looking for a talented and proactive resource to join the Group Strategic Legal Affairs team.

Key responsibilities of the role will include:

• supporting all activities carried out by the team, notably in M&A, bancassurance, equity and debt capital markets transactions, corporate finance and strategic partnership transactions
• in-depth legal analysis, negotiating transaction documents and presenting such transactions to the internal stakeholders (e.g., M&A business teams, Group CFO area, group Strategy), also managing the relationship with them, the local entities and business units involved in each project, as well as appointing and managing external legal advisors, when involved

Requirements

Our ideal candidate will meet the following requirements:

• At least 4 years of experience in international or large national law firms or in legal departments of structured, international companies (with preference of financial institutions)
• Previous experience in M&A, equity and debt capital markets transactions, corporate finance as well as proven ability to actively negotiate the main transaction documents for such deals
• Italian and English proficiency
