Metania Service is a service company (ultimately owned by Tages Helios Net Zero Fund, a fund managed by Tages Capital SGR SpA) which focuses on the management of industrial processes for the production of biomethane. Metania Service is a leading company in the biomethane sector, operating with a circular economy model for renewable energy production.

Job Description

We are seeking a Legal Specialist to join our legal department in Milan (with partial presence in Bergamo).

The successful candidate will work closely with the Head of Legal Affairs at Tages Capital, leading legal operations for Metania Service by supporting contract management, negotiations, and legal matters affecting daily operations, assets, and investments.

The legal affairs function will play a key role in providing legal advice and assistance to other company functions and entities within the funds managed by the SGR, in coordination with the Head of Legal Affairs of Tages Capital and external advisors.

Key Responsibilities

  • Assist in drafting, negotiating, and interpreting a wide range of commercial contracts, including sale and purchase, insurance, financing, service agreements, management service agreements, EPC and O&M contracts, mandates, etc.
  • Support in extraordinary M&A and financing projects, coordinating with other corporate functions.
  • Draft, review, and negotiate confidentiality agreements, letters of intent, binding offers, EPC and O&M contracts, AMAs, and other relevant documents.

Skills and Experience

  • Excellent academic background with a Law degree.
  • Strong knowledge of Italian law.
  • Strong organizational skills, attention to detail, ability to multitask, work collaboratively, and meet deadlines.
  • Experience in biogas/biomethane projects, including development, negotiation, and drafting of contractual frameworks such as joint development agreements, no-binding offers, and sale and purchase agreements.
  • Knowledge of the energy sector.
  • Experience in drafting corporate documents (by-laws, board resolutions, etc.).
  • Curiosity and ambition.
  • Fluency in English.
