Qualifications

  • Product origination support: market research, pitches, and structured financing proposals.
  • Transaction execution: end-to-end structuring, underwriting, and execution.
  • Cross-functional collaboration with global teams to meet client objectives.
  • Deal documentation: term sheets, facility agreements, pledge agreements, ISDA docs.
  • Internal governance: deal memorandums and credit proposals.
  • Portfolio & lifecycle monitoring: track covenants, collateral values and margin calls.
  • Regulatory compliance: RBI/SEBI and cross-border frameworks.
  • Performance & risk culture: targets with ethics and governance.
  • Proven ability to leverage AI tools to enhance productivity.

Responsibilities

  • Lead or assist in end-to-end structuring and execution of structured finance and margin lending transactions.
  • Collaborate with Coverage, Product, and Infrastructure teams globally to tailor financing solutions.
  • Prepare term sheets and coordinate negotiation of legal documents to close deals.
  • Drive internal approvals and governance with risk, legal, and compliance.
  • Monitor live transactions and lifecycle events, ensuring risk controls and reporting.

Structurer is responsible for all activities required to define, design, develop and deliver new products to support the business strategy.

Position Overview

Job Title: VP Structurer SETG

Corporate Title: Vice President

Location: Mumbai, India

Work includes
  • Overseeing all structuring activities within their remit
  • Providing advice and guidance to teams on the development of appropriate products/solution/platforms
  • Partnering with functional and cross-functional colleagues to ensure that products/solutions/platforms meet the needs of the bank/clients and may also participate in the negotiation and execution of the mandated transactions with clients
  • Ensuring adherence to the NPA/NTA process and participating in discussions with internal partners (e.g. Risk; Legal) as appropriate, for the smooth execution of transactions
  • Attaining set performance targets, optimum resource utilisation and adherence to relevant internal policies/controls and regulatory requirements
  • Managing all aspects of the new product development
  • Monitoring progress and implementing strategies to ensure successful delivery of new products and reviewing product design for compliance with each local marketplace

Your Key Responsibilities
Technical & Professional Expertise
  • Equities & Structured Finance Expertise: Proven experience in structured finance, leverage finance, or structured credit, with a deep understanding of capital markets products—specifically the equities complex.
  • Origination & Commercial Acumen: Ability to contribute to business development; skilled in translating market trends and client needs into actionable, structured financing solutions.
  • Structuring & Execution Capability: Strong execution track record, with a sophisticated understanding of complex transaction structures, corporate governance assessment of underlying companies, and asset valuation.
  • Regulatory & Legal Acumen: Deep grasp of both Indian and international financial regulations governing corporate lending, cross-border capital flows, security creation, taking collateral, and enforcement procedures.
  • Analytical & Tool Proficiency: Advanced proficiency in financial modeling (MS Excel), market data systems (Bloomberg, Reuters), and internal risk systems.

  • Teamwork & Collaboration: Proven ability to work effectively and collaboratively within local and global teams, fostering a cooperative team environment across different cultures and functions.
  • Stakeholder Management: Proven ability to drive, influence, and collaborate with senior, cross-functional, and cross-regional deal teams (including Legal, Credit Risk, Operations, Syndicate, and Coverage) under tight execution timelines.
  • Problem-Solving & Initiative: A highly analytical mindset combined with creative, solution-oriented problem-solving abilities. Demonstrates high levels of initiative, self-drive, and resilience in a fast-paced market environment.

Your Skills And Experience
  • MBA from a premier business school, CA, CFA or equivalent professional qualification.
  • For Associate: Minimum of 3–5 years of relevant experience in structured finance, investment banking. For VP: Minimum of 7–10 years of experience, with a strong track record of transaction execution and stakeholder management in structured lending or the equities complex.
  • Product Origination Support: Support and actively participate in product origination efforts. This includes conducting market research, identifying lending opportunities, and preparing high-quality pitch books, client presentations, and structured financing proposals to help secure new mandates.
  • Transaction Execution: Lead or assist in the end-to-end structuring, underwriting, and execution of structured finance and margin lending transactions within the team's remit.
  • Cross-Functional Collaboration: Partner with coverage, product, and infrastructure colleagues globally to structure bespoke financing solutions that meet client objectives while aligning with the firm’s risk appetite.
  • Deal Documentation: Lead or actively participate in the preparation of term sheets, and coordinate the negotiation of legal documentation (including facility agreements, pledge agreements, and ISDA/derivative documentation) to ensure seamless transaction closing.
  • Internal Governance & Approvals: Author comprehensive deal approval memorandums and credit proposals. Drive transactions through internal approval processes, actively participating in discussions with risk, legal, compliance, and other control functions.
  • Portfolio & Lifecycle Monitoring: Monitor live transactions on an ongoing basis. Proactively track deal covenants, collateral values, margin maintenance thresholds, and key lifecycle events (such as margin calls, resets, and roll-overs).
  • Regulatory Compliance: Implement robust strategies to ensure the successful delivery of new products and complex transactions in strict compliance with both Indian (RBI, SEBI) and offshore/cross-border regulatory frameworks.
  • Performance & Risk Culture: Achieve set performance and origination targets while maintaining uncompromising ethics and adherence to internal policies, risk controls, and governance frameworks.

Proven ability to leverage AI tools to enhance productivity, optimise workflows to solve business problems, while applying critical judgment to ensure responsible and ethical use of data and AI outputs.
