Job summary

Vinyl Equity in Mangaluru, India, seeks an experienced Core Transfer Agency product leader to own transfers, corporate actions, and end-to-end TA workflows across the platform. You will work with engineering and regulatory teams, engage with counsel and issuers, and travel 20% to Chicago to support global clients and regulator discussions.

The role demands deep TA domain knowledge, experience with DWAC/DRS, dividends, spinoffs, and tax filings, plus readiness to shape roadmap and customers'

Qualifications

• 8–12+ years in capital-markets infrastructure (transfer agent, corporate-actions)
• Strong customer-facing presence with counsel, equity administrators
• Experience shipping product or ops improvements in TA or corporate-actions

About The Role

Core Transfer Agency forms the foundation of Vinyl's platform, handling every share movement and value distribution. This domain-leader role requires substantive operational experience in transfer-agency and corporate-actions workflows. You will own transfers, issuances, cancellations, holder management, DRS, DWAC, restricted-security removal, dividends, distributions, spinoffs, escheatment, tax filings, tender offers, and warrant exercises end-to-end.

The role demands expertise in SEC 17Ad-17, Schedule TO mechanics, DEF 14A timing, DTC settlement workflows, and restricted-securities removal from lived experience. Requires 20% travel to Chicago and customer sites.

Key Responsibilities

• Own the Core TA + Corporate Actions product roadmap


• Own Tender Offer and Warrant Exercise as ongoing product lines, driving new deal types, deeper automation, and improved per-deal economics


• Drive product evolution in reverse splits, rights offerings, escheatment, DWAC/DRS API switches


• Partner with Core engineering tech leads on architecture, workflow design, and operational reliability


• Engage directly with customers—general counsel, equity administrators, securities lawyers, corporate secretaries


• Represent Core TA and Corporate Actions in sales conversations with prospective issuers


• Collaborate with operations teams on workflow design, SLA definitions, and exception escalation


• Represent Vinyl in regulator and DTC conversations on Core TA mechanics and settlement workflows


• Define success metrics: transfer velocity, restricted-security removal time, corporate-action execution accuracy


• Write product specifications, decision memos, regulator-facing artifacts, and customer playbooks

Role Requirements

• 8–12+ years in capital-markets infrastructure—transfer agent, clearing firm, custodian, broker-dealer back office


• Personal operating depth in transfer agency and corporate actions


• Working knowledge of SEC, DTC, and stock-exchange rules: SEC 17Ad-17, Schedule TO, DEF 14A/DEFA14A


• Demonstrated track record shipping product or operational improvements in TA or corporate-actions


• Technical comfort with architecture and cross-functional engineering collaboration


• Strong customer-facing presence with counsel, lawyers, equity administrators


• Capability participating in regulator and DTC conversations


• Hands-on experience with AI/ML tools in product or operational settings


• Comfort with 20% travel to Chicago and customer sites

• Direct transfer-agent experience in product, operations, or domain-leader roles


• Experience at clearing firms, custodians, or broker-dealer back offices
