Role Summary

The incumbent shall be responsible for:

• In‑house drafting of all transactional documents such as joint development agreements, share purchase agreements, shareholder agreements, LLP agreements, development agreements, agreements to sell, sale deeds, lease deeds, powers of attorney, etc.
• Title due diligence of land and timely risk identification.
• In‑house drafting of contracts and documentation such as application forms, buyer’s agreements, conveyance deeds, lease deeds, collaboration/joint venture agreements for land development, and ensuring timely closure of documents from a legal perspective.
• In‑house drafting of legal notices and pleadings related to disputes/litigations.
• Conformance with all legal requirements related to contracts.
• Timeliness and correctness of legal opinions, as may be required by the company from time to time.

Key Responsibilities

Deal Evaluation

• Conduct detailed due diligence on land records (title, deeds, and checking for any cases against it) as per the due diligence checklist before meeting with the JV partners.
• Assist business development during negotiation with JV partners and their advocates/solicitors on the commercial aspects of the deal.
• Advise on the legal structure of the deal.
• Assist business development team in finalizing the deal for execution.
• Maintain comprehensive documentation of land records and related transactions.

Deal‑Related Agreements

• In‑house drafting of various legal documents such as development agreements, term sheets, share purchase agreements, shareholder agreements, agreements to sell, powers of attorney, affidavits, indemnities, service/sales agreements, etc.
• Follow up with the Head Office for approvals on all draft agreements.

Customer Agreements

• Obtain inputs from marketing team to prepare customer agreements for new projects.
• Draft allotment letters, agreements for sale, possession letters, schedules of payments, notices, etc.
• Assess specific requirements from individual customers and finalize the customer agreement.
• Facilitate the entire process of stamp duty and registration of legal documents.
• Provide documents required during filing for housing loans, addition of spouse’s name, or transfer of property to another buyer.
• Advise customers on stamp duty and other relevant regulations.
• Provide timely advice to other departments on concerns/queries having a legal impact.
• Examine contracts prepared by the Contracts team to provide legal controls and checkpoints.
• Create a knowledge repository for updates on laws, regulations, ordinances, and bylaws related to the real estate industry and make it available to the team.

Process Adherence and Improvement

• Comply with company‑defined guidelines and processes.
• Adhere to project timelines.
• Identify processes/procedures in own work area that need improvement.
• Recommend process improvement ideas to streamline efficiency, cost, and productivity.
• Undertake process improvement activities in own work area.

Learning and Development

• Identify self‑development needs.
• Take concrete steps to pursue self‑development through training, education, projects, etc.

Required Experience & Skills

• Education: LLB (Bachelor of Law).
• Experience: Relevant post‑qualification experience (preferably from a law firm or the real estate industry).

Skills

• Strong knowledge of Maharashtra land laws, RERA regulations, and real estate non‑litigation matters.
• Expertise in legal document drafting and contract management.
• Effective negotiation and communication skills.
