Qualifications

Responsibilities

• Structuring M&A deals for tax efficiency and planning.
• Provide tax diligence and advise on tax implications of transactions.
• Manage share transfers, restructurings, and related tax aspects.
• Advise on fund structuring and transaction advisory for exits.
• Research tax laws, regulations, and their impact on deals.
• Identify options aligning commercial objectives with tax implications.
• Assist with valuations and due diligence as required.
• Share tax industry updates and best practices within the team.

Job description

Talasha has been mandated to hire a Manager / Senior Manager- Mergers & Acquisition Tax advisory profile for one of India's leading transaction advisory firms, based in Bangalore. This boutique consulting firm specializes in M&A tax and structuring services for diverse domestic and multi-national clients.

Responsibilities -

• Structuring potential mergers and acquisition (M&A) deals for efficient tax planning.
• Tax diligence services, advising on tax implications for the corporate in the mergers deal
• Undertaking slump sales, share transfers, merger, demergers and restructuring activities.
• Fund structuring and advisory services -transaction advisory in relation to fund raises, shareholder realignments and investor exits. Also assist in the implementation of an efficient structure.
• Conducting in-depth research of various tax laws, exchange control regulations, corporate laws, securities laws/ regulations, stamp duty laws etc, having a bearing on the proposed transactions
• Identifying suitable solutions for clients by identifying the key commercial objectives, evaluating the key tax and regulatory implications of the identified options
• Assisting the client with other ancillary aspects of the proposed transactions like valuations and due diligences
• Sharing tax and industry updates with the team and encourage sharing of best practices within team and across tea

Good to have -

• Qualified Chartered Accountant with 4+ years post qualification experience
• Proficient in M&A tax advisory
• Tax Advisory / Consultancy experience from Big 6 (PWC, Deloitte, E&Y, KPMG, etc) is preferred

CTC - Rs. 25- 35LPA (Basis last drawn)
