Job summary

One Story in Bengaluru is seeking a Principal to lead M&A advisory and corporate restructuring efforts. The role requires a Chartered Accountant with 10+ years of experience and deep expertise in mergers, acquisitions, and related tax and regulatory areas.

You will review deal documents, guide clients through restructuring strategies, and mentor junior staff while contributing to business development and thought leadership within the practice.

Qualifications

• 10+ years of experience in M&A advisory or related field.
• Qualified CA (Chartered Accountant) is required.
• Experience with restructuring strategies and tax/line-of-business implications.

Responsibilities

• Lead M&A, corporate restructuring, mergers, demergers, and capital reduction assignments.
• Advise clients on restructuring strategies and evaluate direct tax, company law, SEBI, FEMA, stamp duty, and accounting implications.
• Review transaction documents including SPAs, business transfer agreements, and subscription agreements.
• Manage schemes of arrangement, NCLT proceedings, and corporate actions.
• Conduct buy-side and sell-side tax due diligence.
• Support business development, client pitches, proposals, and engagement management.
• Provide technical opinions, lead research initiatives, mentor team members, and contribute to knowledge management and industry publications.
