Senior Associate for a growing financial services group comprising a registered NBFC and a Fintech / Lending Service Provider (LSP). As Associate, you will be individually responsible for RBI compliances and part of the team to manage group‑level compliance, secretarial and legal aspects. This dynamic role requires ownership of the process and strict adherence to internal and statutory timelines.
Key Responsibilities
- Compliance Framework & Risk Management:
- Ensure strict observance of all statutory and regulatory requirements of the NBFC, including standards of market conduct, managing conflicts of interest, treating customers fairly, and ensuring suitability of customer services.
- Establish and enforce a comprehensive compliance policy across the organization.
- Conduct annual compliance risk assessments to identify major risks and devise mitigation plans.
- Regulatory Monitoring & Implementation:
- Track and evaluate regulatory updates relevant to the organization.
- Assess impact of regulatory changes on policies and processes.
- Disseminate updates to senior management and ensure timely implementation.
- Ensure strict adherence to RBI and SEBI guidelines.
- Provide compliance advisory to business teams on loan products and related matters under applicable laws.
- Present compliance updates, regulatory developments and impacts to key teams; train them and suggest process changes or new processes to mitigate risk.
- Reporting & Communication:
- Prepare and submit periodic returns to RBI and other regulators.
- Act as the single point of contact for regulatory queries and clarifications.
- Coordinate with group entities/divisions to share compliance updates and convert them into actionable implementation plans.
- Ensure proper record‑keeping throughout to maintain an up‑to‑date data room.
- Testing & Review:
- Develop and implement the annual compliance testing plan.
- Report significant compliance lapses to the Board, Committees and senior leadership.
- Conduct regular compliance reviews and test internal controls across departments.
- Audit & Inspection Management:
- Lead annual RBI inspections, statutory and internal audits, and other regulatory reviews.
- Manage audit/inspection matters with lending partners.
- Ensure audit readiness, effective participation, and timely closure of audit findings.
- Build comprehensive data rooms for audits and inspections.
- Legal:
- Handle legal matters including contracts, compliance, litigation, and regulatory affairs.
- Develop and maintain a contract management tool.
Educational Qualifications
Member of the Institute of Company Secretaries of India (ICSI) with a valid membership number.
Work Experience
Minimum: 3‑5 years of relevant experience in company secretarial functions.
Must‑Have Skills
- Working knowledge of RBI regulations and rules for NBFC and LSP.
- Practical understanding of lending products such as PL, LAP, BNPL.
- Operational knowledge of SEBI regulations, including LODR and ICDR.
- Basic understanding of FEMA and RBI regulations, especially for NBFC & LSP entities with FDI.
- Familiarity with depository systems, RTA operations, and share capital compliances.
- Strong drafting, communication, and stakeholder coordination skills.
Good‑to‑Have Skills
- Exposure to IPO compliance and documentation.
Technical & Functional Skills
- Compliance, LODR, SEBI regulations.
