Job summary

Magic Circle Partners is seeking a Head - Legal & Compliance to build and scale a comprehensive legal and compliance function for a fast-growing EdTech company in Hyderabad.

You will own contracts, governance, regulatory risk, disclosures, and policy implementation while leading a team and coordinating with external counsel and investors.

Qualifications

• LLB required.
• Company Secretary qualification preferred.

Responsibilities

• Own end-to-end legal & compliance operations; build standardized frameworks, workflows, and checklists; monitor EdTech/education/fintech regulation.
• Draft, review, and negotiate contracts (NDAs, MSAs, SaaS, vendor agreements, partnerships, licenses, leases); maintain templates and approval workflows.
• Manage corporate secretarial and statutory compliance under Companies Act 2013 — board/committee meetings, resolutions, minutes, filings, registers.
• Support fundraising and investor compliance — term sheets, SHAs, FDIs; coordinate due diligence.
• Support IPO/capital markets groundwork — filings, disclosures, post-listing compliance.
• Draft and implement internal policies (POSH, Whistleblower, Data Privacy, Code of Conduct); run audits and maintain risk registers.
• Manage disputes and litigation; oversee IP management; coordinate with external counsel.
• Lead and mentor the internal legal & compliance team; drive process optimization.

About the Role

Our client, a fast-growing, well-funded EdTech company based in Hyderabad, is looking for a Head - Legal & Compliance to lead and scale its legal and compliance function. This role will own legal frameworks, contract management, corporate governance, fundraising/investor compliance, IP, litigation, and policy implementation.

Key Responsibilities

• Own end-to-end legal & compliance operations; build standardized frameworks, workflows, and checklists; track evolving EdTech/education/fintech-relevant regulation
• Draft, review, and negotiate contracts (NDAs, MSAs, SaaS agreements, vendor agreements, content partnerships, licensing, leases, LOIs); maintain templates and approval workflows
• Manage corporate secretarial and statutory compliance under the Companies Act, 2013 — Board/Committee/General meetings, resolutions, minutes, filings, statutory registers
• Support fundraising and investor compliance — term sheets, SHAs, SSAs, side letters; FEMA/FDI/RBI compliance; coordinate due diligence
• Support IPO/capital markets groundwork — filings, disclosures, DRHP documentation, post-listing compliance
• Draft and implement internal policies (POSH, Whistleblower, Ethics, Data Privacy, Code of Conduct); run compliance audits and maintain risk registers
• Manage disputes and litigation — notices, consumer complaints, grievances, coordination with external counsel
• Oversee IP management — trademarks, copyrights, patents, domain names; build IP playbooks
• Lead and mentor the internal legal & compliance team; drive process optimization and knowledge management
• Act as the key point of contact for audits, due diligence, and regulatory inspections
