Allcargo Group in Mumbai is seeking a seasoned Company Secretary to assist in ensuring compliance with Companies Act 2013, SEBI regulations, listing requirements, and related rules. Qualifications

  • ICSI Associate/Fellow membership is required.
  • Bachelor's degree in Law/Commerce/Business Administration or equivalent preferred.

Responsibilities

  • Assist the Company Secretary in ensuring compliance with the Companies Act, SEBI regulations, listing requirements.
  • Support compliance with SEBI LODR and other SEBI regulations.
  • Prepare and finalise agendas, notices, notes and minutes for Board/General Meetings and Postal Ballot proceedings.
  • Coordinate with directors and departments for Board/Committee agenda papers.
  • Maintain statutory registers, records and minutes as per law.
  • Assist in filing statutory/regulatory forms with MCA/ROC, SEBI and stock exchanges.
  • Coordinate disclosures to stock exchanges for material events and governance matters.
  • Assist with related-party transaction compliance and annual report processes.
  • Facilitate AGM/EGM logistics and shareholder meetings.
  • Coordinate with RTA on investor/shareholder matters and corporate actions.
  • Handle investor grievances and ensure timely resolutions.
  • Monitor regulatory changes and advise stakeholders.

Job Description
  • Assist the Company Secretary in ensuring compliance with the Companies Act, 2013, SEBI regulations, listing requirements, and applicable rules and regulations.
  • Support compliance with SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (LODR) and other applicable SEBI regulations.
  • Assist in preparation and finalisation of agendas, notices, notes and minutes for:
    • Board Meetings
    • General Meetings
    • Postal Ballot proceedings
  • Coordinate with directors, senior management and various departments for preparation of Board/Committee agenda papers.
  • Maintain statutory registers, records and minutes in accordance with applicable laws.
  • Assist in preparation and filing of statutory and regulatory forms with MCA/ROC, SEBI and Stock Exchanges.
  • Coordinate timely disclosures to stock exchanges, including disclosures relating to material events, corporate actions, shareholding, governance matters and other applicable requirements.
  • Assist in ensuring compliance with related-party transaction requirements, including preparation of agendas, disclosures and approvals.
  • Support the annual report process, including preparation/review of the Corporate Governance Report, Board's Report, Business Responsibility and Sustainability Report (BRSR), and other statutory disclosures.
  • Assist with the conduct of Annual General Meetings, Extraordinary General Meetings and other shareholder meetings.
  • Coordinate with Registrar & Share Transfer Agent (RTA) on investor/shareholder-related matters, corporate actions and statutory reporting.
  • Assist in handling investor grievances and ensuring timely resolution of shareholder queries.
  • Monitor changes in Companies Act, SEBI regulations, stock-exchange circulars and other applicable laws and advise relevant stakeholders on their impact.
  • Maintain the company's compliance calendar and track statutory and regulatory deadlines.
  • Assist in preparation of compliance certificates, reports and declarations required from directors and senior management.
  • Support implementation and monitoring of corporate governance policies and procedures.
  • Assist with director-related matters, including appointment, resignation, retirement, disclosures, DIN/KYC, declarations and related statutory filings.
  • Assist in maintaining records relating to directors, KMPs and senior management personnel.
  • Coordinate with statutory auditors, secretarial auditors, internal auditors and other professional advisers.
  • Assist in preparation and implementation of responses to observations raised by statutory/secretarial auditors and regulators.
  • Support due diligence activities for corporate transactions, fund raising, mergers, acquisitions, restructuring and other strategic initiatives.
  • Assist in ensuring compliance relating to equity shares, ESOPs, buybacks, preferential issues, rights issues, bonus issues and other corporate actions, as applicable.
  • Assist with maintenance and updating of corporate policies, including related-party transaction policy, code of conduct, insider trading code, whistle-blower policy and other governance policies.
  • Support compliance under SEBI (Prohibition of Insider Trading) Regulations, including maintenance of relevant records and coordination of trading-window and disclosure requirements.
  • Assist in preparing management reports and dashboards on secretarial and regulatory compliance.
  • Perform other secretarial and corporate governance responsibilities assigned by the Company Secretary.
Candidate Profile
Qualification
  • Associate/Fellow Member of the Institute of Company Secretaries of India (ICSI).
  • Bachelor's degree in Law/Commerce/Business Administration or equivalent preferred.
  • LLB qualification will be an added advantage.
Experience
  • Approximately 5–10 years of relevant experience in secretarial and compliance functions.
  • Experience in a listed company is strongly preferred.
  • Exposure to SEBI regulations, stock-exchange compliances, corporate governance and Companies Act requirements is essential.
  • Experience with listed-company Board processes and shareholder meetings will be an advantage.
Key Skills
  • Strong knowledge of Companies Act, 2013 and rules thereunder.
  • Good understanding of SEBI regulations, particularly LODR and Insider Trading Regulations.
  • Knowledge of stock-exchange compliance and corporate governance practices.
  • Strong drafting and documentation skills.

  • Proficiency in MS Office and relevant compliance/secretarial software.
