Job summary

Michael Page is seeking an experienced Head of Governance & Compliance in Mumbai to lead board management, regulatory compliance, and stakeholder engagement across AIF, PE, and asset management platforms. The role focuses on overseeing governance programs, risk management, and regulatory reporting for multiple entities.

Qualifications

• Qualified Company Secretary (ICSI) mandatory; LLB or equivalent qualification preferred.
• 10+ years of experience across AIF, private equity, asset management, or financial services.
• Strong expertise in SEBI/IFSCA AIF Regulations, corporate law, institutional investor engagement, and managing complex multi-entity/SPV structures

Responsibilities

• Lead Governance & Board Management: Act as a trusted advisor to senior leadership and oversee board, committee, and corporate governance processes.
• Drive Regulatory Compliance: Ensure compliance with SEBI AIF Regulations, the Companies Act, FEMA, and other applicable regulatory frameworks, while managing regulatory filings and reporting.
• Manage Stakeholder Relationships: Work closely with institutional investors, regulators, trustees, auditors, custodians, and other key stakeholders.
• Oversee Compliance Frameworks & Risk Management: Develop and strengthen compliance programs, internal controls, governance policies, audits, and regulatory reviews across entities and funds.
• Support Fund & Corporate Lifecycle Activities: Lead governance and compliance aspects of fund formation, restructuring, capital raising, portfolio management, and corporate secretarial activities.
