Zenith HR Solutions is seeking a Compliance Officer for an AIF/Fund Management Entity in GIFT City to ensure that the fund, investment manager and fund-related activities remain compliant with IFSCA regulations, SEBI requirements where applicable, and the fund’s PPM.

Key responsibilities include monitoring day-to-day compliance, coordinating PPM disclosures, regulatory filings with IFSCA/SEBI, maintaining governance records, and assisting with AML/KYC, audits and inspections.

Responsabilidades

• AIF/Fund Compliance: Monitor day-to-day compliance of AIF schemes with applicable IFSCA/SEBI regulations, circulars and guidelines.
• PPM– Private Placement Memorandum: Review and coordinate preparation/updation of PPM, ensuring required disclosures on fund structure, investors, strategy, risks, governance, fees and other terms are accurate.
• Regulatory Filings: Coordinate periodic and event-based filings/reports with IFSCA, SEBI and other authorities, including maintaining compliance calendars and tracking deadlines.
• Fund Compliance: Ensure compliance with fund documentation, investment restrictions, investor-related requirements, governance procedures and internal policies.
• Regulatory Updates: Track changes in SEBI AIF Regulations, IFSCA Fund Management Regulations and circulars, assess their impact and implement necessary changes.
• Investor/Stakeholder Compliance: Coordinate with fund managers, trustees/fiduciaries, legal counsel, administrators, auditors and investors on compliance matters.
• AML/KYC: Support monitoring of KYC, AML/CFT, investor onboarding and ongoing due diligence requirements.
• Audit & Inspections: Maintain compliance records and assist in regulatory inspections, internal audits and external audits.
• Breach/Exception Management: Identify compliance gaps, document breaches or exceptions and coordinate corrective actions.

Role:

A Compliance Officer at an AIF/Fund Management Entity inGIFT City is responsible for ensuring that the fund, investment manager andfund-related activities remain compliant with IFSCA regulations, SEBIrequirements (where applicable), the fund’s PPM, and other regulatoryobligations. IFSCA specifically requires FMEs to ensure appropriate disclosuresand filings for fund/scheme documents, including the PPM.

Key responsibilities:

• AIF/FundCompliance: Monitor day-to-day compliance of AIF schemes with applicableIFSCA/SEBI regulations, circulars and guidelines.


• PPM– Private Placement Memorandum: Review and coordinate preparation/updationof PPM, ensuring required disclosures on fund structure, investors,strategy, risks, governance, fees and other terms are accurate.
