Job Summary
We are seeking a qualified and experienced Company Secretary to manage corporate governance, statutory and regulatory compliance, and provide legal and administrative support to the Management. The role will oversee board processes, statutory records, regulatory filings, shareholder matters, and corporate legal documentation while ensuring compliance with applicable laws and governance standards.
Roles & Responsibilities
- Ensure compliance with corporate governance practices, statutory requirements, and regulatory filings.
- Organize Board and committee meetings, including preparation of agendas, notices, minutes, and resolutions.
- Maintain and update statutory registers, corporate records, and regulatory filings.
- Advise the Board on corporate law, regulatory, and governance matters.
- Liaise with regulatory authorities, external legal advisors, and other stakeholders.
- Draft, review, and execute corporate legal documents, contracts, agreements, and resolutions.
- Manage shareholder-related matters, including AGMs, notices, records, and shareholder queries.
- Support corporate restructuring, mergers, acquisitions, and other corporate activities in accordance with applicable regulations.
- Ensure timely and accurate filing of annual returns, financial statements, and other statutory documents.
- Monitor changes in applicable corporate laws and regulatory requirements and ensure necessary compliance actions.
Mandatory Requirements
- Degree in Law, Company Secretaryship, or a related field.
- Qualified Company Secretary with membership of a recognized professional body such as ICSI.
- Strong knowledge of corporate laws, statutory compliance, corporate governance, and regulatory requirements.
- Experience in handling Board meetings, minutes, resolutions, statutory registers, and corporate filings.
- Strong legal documentation and drafting skills.
- Ability to liaise effectively with regulatory authorities, legal advisors, shareholders, and senior management.
- Strong attention to detail, confidentiality, organization, and compliance orientation.
- Excellent written and verbal communication skills.
