Job summary

SCA Law Offices is seeking a Principal Associate in Corporate Law with 7+ years of experience. The role demands deep knowledge of corporate statutes, regulatory filings, and complex transactions, including M&A and private equity.

The candidate will handle drafting and negotiating key documents, oversee board and shareholder meetings, and conduct due diligence on diverse entities. Prior law firm exposure is preferred, with CS or LLB qualifications.

Qualifications

• 7+ years of experience in corporate law and related fields.
• Experience in corporate and regulatory transactions and filings.
• Strong drafting, negotiation, and documentation skills.
• Familiarity with SEBI LODR, ICDR, SAST and listing obligations.

Responsibilities

• Lead and conduct board and shareholders meetings, ensuring compliance with legal guidelines.
• Perform due diligence on listed and unlisted entities for transactions.
• Assist in mergers, acquisitions, private equity deals, and related financing.
• Draft, review, and negotiate transaction documents (SPAs, term sheets, SHAs, loan agreements).
• Draft legal opinions and provide advisory on corporate and regulatory matters.
• Advise on ICB Code matters and other applicable regulations.

Job Requirements:

• Comprehensive knowledge and experience of various corporate Laws, such as Companies Act, Contract Act, Societies Act, FCRA, and FEMA regulations, with focused expertise in areas such as FDI, ODI, and ECBs, coupled with experience in managing related transactions, secretarial compliance, regulatory filings, etc.
• Working knowledge of SEBI laws, listing compliance, regulatory filings under SEBI LODR, ICDR, SAST, PIT, other listing regulations, etc.
• Conducting board meetings, shareholders meetings, and preparing necessary documents for the same, ensuring adherence to legal and regulatory guidelines.
• Experience in conducting due diligence on listed and unlisted entities.
• Experience in handling mergers and acquisitions, private equity transactions, etc.
• Experience in drafting, reviewing and negotiating transaction agreements/ documents including but not limited to term sheet, share purchase agreements, share subscription agreements, shareholders agreements, loan agreements, etc.
• Drafting of legal opinions and advisory on various laws.
• Knowledge and experience in handling matters under the ICB Code would be an added advantage.
