Job summary

Vegapay Technologies Private Limited is seeking an entrepreneurial Associate Manager - Legal & General Counsel to build the in-house legal function in a fast-growing fintech startup in Bengaluru. You will lead commercial contracting, regulatory compliance with RBI and data privacy laws, and advisory on product launches, partnerships, and fundraising, reporting to founders.

Responsibilities

• Draft, review, negotiate, and manage a wide range of commercial agreements including MSAs, SaaS, vendor, partnership, NDAs, employment and customer contracts.
• Advise on applicable laws and regulatory compliance, RBI guidelines, data privacy, and fintech regulations.
• Coordinate with external law firms, auditors, and regulatory consultants; maintain corporate records.
• Provide practical legal guidance during product lifecycles, partnerships, and fundraising; support board matters.

The Impact You’ll Drive

We’re looking for an entrepreneurial Legal Counsel to join our team and be the first in-house legal hire. This role is ideal for someone who thrives in fast-paced startup environments, enjoys solving complex legal and business problems, and wants to build the legal function from the ground up.

You will work closely with the founders and leadership team to support commercial transactions, regulatory compliance, product launches, strategic partnerships, fundraising, and day-to-day legal matters across the business.

The Hats You Will Wear

Commercial Contracts

• Draft, review, negotiate, and manage a wide range of commercial agreements including:
  • Master Service Agreements (MSAs)
  • SaaS Agreements
  • Vendor & Procurement Agreements
  • Partnership & Alliance Agreements
  • Non-Disclosure Agreements (NDAs)
  • Employment & Consultant Agreements
  • Customer Contracts
• Develop and maintain standard contract templates and approval processes.

Regulatory & Compliance

• Advise business teams on applicable laws and regulations impacting fintech products.
• Ensure compliance with RBI guidelines, payment ecosystem regulations, data privacy requirements, and other applicable regulatory frameworks.
• Work closely with compliance, finance, security, and product teams on regulatory initiatives.
• Monitor changes in the legal and regulatory landscape and provide practical guidance.
• Support fundraising, due diligence, shareholder documentation, ESOP-related legal documentation, and board matters.
• Coordinate with external law firms, company secretaries, auditors, and regulatory consultants.
• Maintain corporate records and legal documentation.

Product & Business Advisory

• Partner with Product, Engineering, Sales, Operations, and Leadership teams to identify legal risks early in the product lifecycle.
• Provide practical legal advice on new products, partnerships, and business initiatives.
• Balance legal risk with business objectives to enable faster decision-making.
• Identify legal risks across business operations and recommend mitigation strategies.
• Manage pre-litigation matters and coordinate with external counsel where necessary.
• Handle legal notices, customer disputes, vendor issues, and contractual escalations.

Process & Governance

• Establish legal processes, documentation standards, and contract lifecycle management practices.
• Conduct legal awareness sessions for internal stakeholders.
• Drive legal automation and improve operational efficiency.

The Perfect Fit

• LL.B. / BA LL.B. from a recognized university.
• 3 - 5 years of post-qualification experience , with significant experience in a startup environment (mandatory) .
• Strong expertise in commercial contracting and corporate legal matters.
• Working knowledge of RBI regulations, data privacy laws, and technology contracts.
• Excellent drafting, negotiation, and stakeholder management skills.
• Ability to independently handle multiple priorities in a fast-moving environment.
• Comfortable working directly with founders and cross-functional leadership teams.

Your Edge Over The Rest

• Prior experience in fintech, payments, banking, lending, SaaS, or financial services is highly preferred.
• Exposure to investor transactions, and due diligence processes.
• Experience being an early legal hire or building legal processes from scratch.
• Familiarity with contract lifecycle management and legal automation tools.
• Ability to influence stakeholders through pragmatic, solution-oriented advice.
